T Clarke (UK): Scheme of Arrangement

FTSE Russell note the scheme of arrangement to effect the cash acquisition of T Clarke (UK, 0201502, FTSE Fledgling Index) by Regent Acquisitions Limited, whereby shareholders will receive GBP 1.60. Shareholders approved the acquisition on 29 May 2024. Outstanding conditions are capable of waiver, aside from the customary Court Sanction which expected to take place on 21 June 2024, followed by the suspension of dealings in T Clarke shares from the open of 25 June 2024.
On the FTSE UK Index Series review market capitalisation date of Tuesday 04 June 2024, T Clarke was ranked as an addition to the FTSE SmallCap Index.
Section 4.10. of the FTSE Russell Corporate Action and Events Guide outlines that an acquisition may be considered final where the only outstanding approvals are considered customary. Furthermore, an acquisition scheduled to occur subsequent to the review may be expedited and applied in conjunction with the review date, in order to minimise turnover. Consequently, T Clarke will not be added to the FTSE SmallCap Index and will instead be removed from the FTSE Russell indices from the open Monday 24 June 2024.
