("Regional REIT", the "Group" or the "Company")
Change of
AIFM
As previously announced on 11
October 2023, Regional REIT Limited (LSE: RGL), will appoint ESR
Europe Investment Management Ltd. ("ESR Europe") to act as its Alternative
Investment Fund Manager ("AIFM"), effective 30 August 2024,
following ESR Europe's authorisation as an alternative investment
fund manager by the Financial Conduct Authority ("FCA").
ESR Europe was authorised by the FCA
on 1 August 2024. ESR Europe will replace Toscafund Asset
Management LLP ("Toscafund") as AIFM.
The appointment of ESR Europe as the
Company's AIFM was agreed at the time that an affiliated party to
ESR Europe (ARA Europe Private Markets Ltd., which has since been
renamed to ESR Europe Private Markets Ltd.) purchased the
investment management contract from Toscafund.
ESR Europe is the European platform
of ESR Group, a global real estate investment manager with a
leading position in the new economy in Asia-Pacific. ESR Europe
also operates across the UK and Western Europe, bringing over 30
years of real estate investment and asset management experience
delivered by a highly skilled in-house team.

About Regional REIT
Regional REIT Limited ("Regional
REIT" or the "Company") and its subsidiaries (the "Group") is
a United Kingdom ("UK") based real estate investment
trust that launched in November 2015. It is managed
by London & Scottish Property Investment Management
Limited, the Asset Manager, and ESR Europe Private Markets Limited,
the Investment Adviser.
Regional REIT's commercial property
portfolio is comprised wholly of income
producing UK assets and comprises, predominantly of
offices located in the regional centres outside of the M25
motorway. The portfolio is geographically diversified, with 132
properties, 827 tenants as at 21 June 2024, with a valuation of
c.£647.8m.
Regional REIT pursues its investment
objective by investing in, actively managing and disposing of
regional core and core plus property assets. It aims to deliver an
attractive total return to its Shareholders, targeting greater than
10% per annum, with a strong focus on income supported by
additional capital growth prospects.
The Company's shares were admitted
to the Official List of the UK's Financial Conduct
Authority and to trading on the London Stock Exchange on 6 November
