                    ACQUISITION OF RETAIL SOURCE LIMITED



SP Holdings PLC ("the Company"), the marketing and financial services company,
announces the acquisition of the entire issued capital of Retail Source Limited
("Retail Source"), a specialist retail brand marketing consultancy founded by
Chris Howarth.

Retail Source Ltd and its clients which include Heinz, Procter and Gamble and
Everton Football Club will be integrated into SP Active Ltd, the Company's
marketing services subsidiary.

Commenting on the deal, SP Active Managing Director Tony Simpson, said:

'Following on from our acquisition of Observebrands, the acquisition of Retail
Source further strengthens our lead in the retail marketing sector.  Chris
