(dd) FINRA Matters. The Company meets the requirements for use of Form F-3 under the Securities Act specified in FINRA Rule 5110(h)(1).
(ee) Compliance with
Environmental Laws. Except as would not reasonably be expected, individually or in the aggregate, to result in a Material Adverse Change; (i) neither the Company nor any of its subsidiaries, and to the knowledge of the Company and solely
with respect to any vessel owned by the Company or any subsidiary of the Company, none of the Managers, is in violation of any federal, state, local or non-U.S. statute, law, convention, treaty, rule,
regulation, ordinance, code, or any judicial or administrative interpretation thereof, including any judicial or administrative order, consent, decree or judgment, relating to pollution or protection of human health, the environment (including,
without limitation, ambient air, surface water, groundwater, land surface or subsurface strata) or wildlife, including, without limitation, laws and regulations relating to the release or threatened release of chemicals, pollutants, contaminants,
wastes, toxic substances, hazardous substances, petroleum or petroleum products (collectively, Hazardous Materials) or to the manufacture, processing, distribution, use, treatment, storage, disposal, transport or handling of
Hazardous Materials (collectively, Environmental Laws), (ii) the Company and its subsidiaries, and to the knowledge of the Company and solely with respect to the vessels owned by the Company or any subsidiary of the Company, the
Managers, have all permits, authorizations and approvals required (including, without limitation, the ownership and operation of the respective vessels owned by the Company or its subsidiaries) under any applicable Environmental Laws and are each in
compliance with their requirements, (iii) there are no pending or, to the knowledge of the Company, threatened, administrative, regulatory or judicial actions, suits, demands, demand letters, claims, liens, notices of noncompliance or
violation, investigation or proceedings relating to any Environmental Law against the Company, any of its subsidiaries or, to the knowledge of the Company and solely with respect to any vessel owned by the Company or any subsidiary of the Company,
any of the Managers, (iv) to the knowledge of the Company, there are no events or circumstances that would reasonably be expected to form the basis of an order for clean-up or remediation, or an action,
suit or proceeding by any private party or governmental body or agency, against or affecting the Company, any of its subsidiaries or, to the knowledge of the Company and solely with respect to any vessel owned by the Company or any subsidiary of the
Company, any of the Managers, relating to Hazardous Materials or any Environmental Laws, and (v) there are no costs or liabilities (and there are no events or circumstances that would reasonably be expected to result in such costs or
liabilities) to the Company, its subsidiaries or, to the knowledge of the Company and solely with respect to any vessel owned by the Company or any subsidiary of the Company, any of the Managers, under Environmental Laws (including, without
limitation, any capital or operating expenditures required for clean-up or remediation of releases, closure of properties, retirement, retrofitting, dry-docking or
upgrades of vessels, and any potential liabilities to third parties).
(ff) Periodic Review of Costs of Environmental
Compliance. In the ordinary course of its business, the Company and, to the knowledge of the Company and solely with respect to the vessels owned by the Company or any subsidiary of the Company, each Manager, conducts a periodic review of the
effect of Environmental Laws on the business, operations and properties of the Company, its subsidiaries, and such Manager (solely with respect to the vessels owned by the Company or any subsidiary of the Company), as applicable, in the course of
which it identifies and evaluates associated costs and liabilities (including, without limitation, any capital or operating expenditures required for clean-up, closure of properties or compliance with
Environmental Laws
