You are cordially invited to attend the Special Meeting of Stockholders (the “Special Meeting”) of MULLEN AUTOMOTIVE INC. (“Mullen,” “we,” “our,” “us,” or the “Company”), a Delaware corporation, to be held on January 31 2025 at 9:30 a.m. Pacific Time, in a virtual meeting format. You will be able to attend the meeting and vote online during the Special Meeting by accessing www.virtualshareholdermeeting.com/MULN2025SM and follow the instructions provided to you with these proxy materials. The Special Meeting includes a proposal to approve a reverse stock split as described below. The Company will effect a reverse stock split to the extent that it is necessary to maintain compliance with the continued listing requirements of The Nasdaq Capital Market.

The Special Meeting of stockholders is being held for the following purposes:



(1) Proposal 1 - To approve an amendment of the Company’s Second Amended and Restated Certificate of Incorporation, as amended, to effect a reverse stock split of the Company’s outstanding common stock at an exchange ratio between 1-for-2 to 1-for-100, as determined by the Company’s Board of Directors; and


(2) Proposal 2 - To approve the adjournment of the Special Meeting from time to time, to a later date or dates, if necessary or appropriate, under certain circumstances, including for the purpose of soliciting additional proxies in favor of the foregoing proposal, in the event the Company does not receive the requisite stockholder vote to approve such proposal or establish a quorum.


The Board of Directors has fixed the close of business on January 7, 2025 as the record date for the Special Meeting and only holders of shares of record at that time will be entitled to vote and participate at the Special Meeting and any postponements, adjournments or continuations thereof. A list of stockholders will be available at our offices at 1405 Pioneer Street, Brea, CA 92821 for a period of at least 10 days prior to the Special Meeting.

Morning magnum! There is a huge factor you are missing...inflation. For on topic example if MULN has to pay a federal tax for parts and supplies bought here in the U.S. like domestic companies do, the cost of consumer goods and services would rise immediately and continuously. There are many people that pay little to no taxes due to being unemployed and other various reasons. Homelessness would skyrocket. Same with companies that have enough write offs to offset their tax rate and stay competitive. With a federal tax on goods and supplies many companies would not be able to compete and go under. We are already seeing that happening with companies competing with amazon and such. Imagine the amount of companies going out of business skyrocketing even further. If you look at the amount of federal tax that comes out of the average paycheck, it would not make a big difference. But the lives of families that look forward to a refund for child tax credits would change dramatically. In my opinion, it is a political stunt that just isn't feasable. The CES is already displaying military robots like in the movie Terminator 3. Interactive holographics like in star trek already exist in r&d's of big companies fine tuning for commercialism. Pretty soon the U.S. will look like a mad max movie. I think a federal tax will accelerate life getting worse for the average consumer. Just my 2 cents anyway.

I rarely put money in a stock without serious reading. I promise I never gave this one a thought. I was just toying with you. Remember when you posted about this stock on that other board (spamming)? I had no idea what MULN was. I thought you were talking about some obscure regulation - turns out it was a stock. Then when a certain basher stopped by that board, I looked to see where else he might be bashing and MULN came up... I had to look and found the entire gang here.

Then Dragon caught my eye. He was bashing a pharma company in 2017 promising that that stock would be delisted on it's way to bankruptcy. That stock went from $4.50 to $27. I followed him to another crazy prediction and made some serious money. Posted my buys in real time... that company didn't have a bid while I was buying. I figured I was throwing my money away, it went to .08. Ask him about it. I bought him 3 months of Ihub premium for his hard work finding winners for each of the stocks - 6 months in total.

A year ago, this company had $155 million cash in the bank, and shareholder equity of $272 million.

Its market cap was $125 million.

People made the observation that it was a no brainer to buy. Undervalued. More cash in the bank that the market cap was showing…etc etc etc.

Anyone who bought at that time because of that view has seen 99.99% of that investment wiped out in the last year.

I can guarantee you that the price will be many times higher next week.
