its entry into a definitive agreement to acquire Carr's Engineering Limited (excluding Chirton Engineering) and Carr's Engineering (US), Inc.,
each a subsidiary of Carr’s Group plc. The slide presentation is attached hereto as Exhibit 99.1 and is incorporated herein
