 Announcement by the Independent Directors to update Shareholders in respect of
                        the offer by Stoneycroft Limited


Following the announcement of the preliminary results of Monsoon plc ("Monsoon"
or "the Company") on 28 July 2003, the independent directors of Monsoon would
like to provide a further update on current trading in advance of 3 October
2003, being the last day that put options may be exercised under the offer by
Stoneycroft Limited dated 2 July 2003 (the "Offer"), and ahead of the Annual
General Meeting of the Company, to be held on 9 October 2003.


The independent directors of the Company are Graham Frost, Rose Foster, John
Clark and John Spooner (the "Independent Directors").


At the time of the preliminary results, Monsoon reported that the Group had made
a good start to the year. We are pleased to report that this trend has continued
with total sales for the first 14 weeks of the year to 6 September 2003 up 28%
on the same period last year with like for like sales up 10 %. The overall
performance of the group remains strong.


The Board received on Monday 15 September 2003 a letter from the Directors of
Beauchamp(UK) Limited who control 62.7% of the issued share capital of the
Company requesting Board Representation. The Board will discuss this request at
its next meeting and will make a further announcement .


In line with their announcement of 8 July 2003, the Independent Directors
reiterate that in reaching their decision as to whether to exercise put options
acquired pursuant to the Offer, shareholders should consider the exercise price
of the put options, the trading performance of Monsoon and the consequences of
remaining a minority shareholder in Monsoon including, and as announced on 27
August 2003, the intention of the Company to seek admission to the Alternative
Investment Market if the combined interest in the shares of Monsoon of Peter
Simon, Stoneycroft and the trust in which Peter Simon and his family have an
interest exceed 75 per cent. In addition shareholders should take account of
their own personal circumstances and seek independent professional advice where
necessary.
