             CML MICROSYSTEMS PLC ("the Company")
                               
                    DIRECTOR SHARE DEALING
                               

The Company has been notified that on 4 September Mr G J Bates,
a  director  of  the  Company, exercised  options  over  20,000
ordinary  shares of 5p each in the Company ("Ordinary  Shares")
at an exercise price of #1.475 per Ordinary Share. In addition,
Mr Bates subsequently sold 20,000 Ordinary Shares at a price of
#6.20 per Ordinary Share.

Following this transaction, Mr Bates has a beneficial  interest
in  the  Company's  issued  ordinary share  capital  of  44,409
Ordinary  Shares representing 0.30 per cent. of  the  Company's
total issued ordinary share capital.  In addition, Mr Bates has
options  over 15,000 Ordinary Shares remaining at  an  exercise
price of #2.925 exerciseable from 14 June 2003 to 14 June 2010.
