On July 27, 2009, Harleysville National Corporation (“Harleysville”) issued a joint press release with First Niagara Financial Group, Inc. (“First Niagara”), announcing the execution of an Agreement and Plan of Merger, dated as of July 27, 2009, by and among Harleysville, a Pennsylvania corporation, and First Niagara, a Delaware corporation.
