This Amendment No. 1 to Current Report on Form
8-K/A (this Amendment) amends the Current Report on Form 8-K of Red Lion Hotels Corporation (the Company) dated and filed with the Commission on
December 26, 2019. In the original 8-K filed on December 26, 2019, Red Lion Hotels Corporation indicated that Mr. Joseph Megibow would be joining the Companys Compensation Committee.
Mr. Megibow was appointed by the Board to the Audit Committee to replace Mr. Carter Pate, and Mr. Jake Brace was appointed to serve on the Compensation Committee to replace Michael Vernon, who is also retiring from the Board as of
December 31, 2019. This Amendment to Form 8-K corrects this error.
