automotive applications, today announced the results of the
Company's 2016 Annual General Meeting, which was held
on December 3, 2016, at 9:00 am Beijing time (December
2, 2016 at 8:00 pm U.S. Eastern Time) in Beijing,
China. The Company's shareholders
approved the following proposals as recommended by the Company's
Board of Directors:
1. Elected a total of eight (8) directors to the Board,
including two (2) directors elected solely by the holders of the
Company's Series D Preferred Stock, to serve until the next annual
meeting of shareholders and until their successors are duly elected
and qualified;
2. Approved the 2015 compensation of the named executive
officers (the "say-on-pay vote");
3. Approved holding an advisory vote to approve the compensation
for the named executive officers every
year (the "say-on-frequency vote"); and
4. Ratified the appointment of KPMG Huazhen LLP as the Company's
independent auditors for the fiscal year ending 2016.
