Talbots (The) (TLB) Share Price

NEW YORK, Aug. 3, 2012 /PRNewswire/ -- Sycamore Partners today announced that TLB Merger Sub Inc., an entity affiliated with Sycamore Partners, has accepted for payment all shares of common stock of The Talbots, Inc. (TLB) (the "Company" or "Talbots") that were validly tendered into its tender offer to acquire all outstanding shares of common stock of the Company at a purchase price of $2.75 per share, net to the seller in cash, as of the expiration of the tender offer. The tender offer expired at 5:00 p.m., New York City time, on Thursday, August 2, 2012.

The depositary for the tender offer advised that, as of the offer's expiration, 51,769,611 shares of common stock of the Company had been validly tendered and not withdrawn in the tender offer, which, when added to the 6,999,316 shares of Company common stock owned by Sycamore Partners and its affiliates, represent approximately 83.6% of the outstanding shares of the Company. All such tendered shares have been accepted for payment in accordance with the terms of the tender offer.

Sycamore Partners intends to promptly move forward with a "short-form" merger under Delaware law after exercising its top-up option under the merger agreement, and Talbots will become a wholly-owned subsidiary of TLB Holdings LLC, an entity affiliated with Sycamore Partners. The merger is expected to be completed today, August 3, 2012. As a result of the merger, any shares of Talbots common stock not previously tendered will be cancelled and (except for shares held by Talbots, TLB Merger Sub Inc., TLB Holdings LLC or shares for which appraisal rights are properly demanded pursuant to Delaware law) will be converted into the right to receive the same $2.75 per share in cash paid in the tender offer. Following the merger, Talbots' common stock will cease to be traded on the New York Stock Exchange.

Gotcha, it just seemed weird that it was selling for 30c below the buyout price, someone could make good money buying and holding here

People don't believe that the buy out will happen. I stumbled across this stock by luck. I usually buy over sold stocks that drops big time simply because of one bad news. It recovers later in the day or the next day and I make a nice change.

This one made me almost double up; I was expecting a 10 - 20% return but caught the second buy out news by luck.

Anyway, the $3.05 offer fell apart and so could this one. They are also being investigated for fraud. why would you deny a $3 offer and then accept an offer less than that?

I am a buyer at $2.38. Will sell above $2.65.

Silly Question, if the buy-out is for 2.75 why are people selling at 2.50$ is it just not wanting to wait for it, or something else?

Glob, sold back at $3.31 for nice profit. Fridays drop got me interested again. Right now I'm fully loaded in AL* at $1.52. It should run for the next year. Alot going for it. Their patents alone are worth over $2.00 a share.

As announced on December 20, 2011, Talbots Board of Directors is exploring a full range of strategic alternatives to maximize value for all Talbots stockholders. Pending that evaluation, the Company will continue to pursue its long range plan. In addition, the Board of Directors continues its previously announced search for a successor President and Chief Executive Officer.

The Board has not set a definitive timetable for the completion of its evaluation and the Company stated that there can be no assurance of any transaction as a result of the Board’s review. The Company does not intend to discuss the status of the evaluation or provide interim updates.

Perella Weinberg Partners is acting as financial advisor and Dewey & LeBoeuf LLP is acting as legal counsel to Talbots in connection with the Board’s evaluation of strategic alternatives.

I'd say they need to step up the search for a new President and CEO.
As far as "strategic alternatives" to "maximize value", exactly what the hell does that mean?
After a disappointing quarter and a disappointing year, TLB might want to present a concrete plan of action and someone to execute it.

Using point and figure charting and setting is average true range the projected price is $7.56.

Given the tough economic environment especially the retail sector the share price is to go up.

TLB CORRECTION: Talbots Rallies Following CNBC's Report of Potential Suitors for Struggling Company

01:58 PM EST, 01/20/2012 (MidnightTrader) -- Apparel retailer Talbots (TLB) is surging, and was last up 16% following a report by CNBC that private equity firms Golden Gate and TPG Capital were considering bidding for the retailer.

The previous briefing incorrectly stated that TLB was surging after rejecting an offer by Sycamore Partners. TLB declined that offer on Dec. 20, 2011.

TAL Talbots Rejects Takeover; Shares Surge 17.8%

Talbots Inc. (TLB) is up 17.8% after it turned down a takeover offer from private-equity firm Sycamore Partners.

Sycamore offered TLB about $212.1 million, or $3 a share, an offer TLB said was inadequate and substantially undervalued the company, according to The Wall Street Journal.

Easy $4.00 a share from here. It could be more especially if bidding war starts!!!

This isn't the last we hear from Sycamore. Today's announcement was the best thing the board and Trudy have done all year. They know there will be plenty of lawsuits if they don't increase investor value by more than $3.00 share.

- Sycamore said they will consider raising
their bid of $3.00 for each un-owned share
if they get internal access to
Talbot's finances.
- filings show 300-330 million in assets
with NO debt at all.
- tough retail environment hurting everyone,
but once you own this presence and brand,
you own it going into a potential turnaround.

my guess - 300 million not including Sycamore's
already owned 10% = perfect match to book value

300 million / 63 million shs not owned by Syc
= 4.75/sh

OR 300 including Syc's shares = 270/63 = $4.28/sh

worst case total low ball = 250/63 =
$3.96
