Business Information

Gold Entertainment Group, Inc. is a Medical Device distributor. The Company signed an agreement on December 31, 2022, to acquire 51% of Devon Orthopedic Implants, LLC ("ORTHO") a Delaware limited liability company with offices in New Port Richey, Florida. ORTHO is an operating company and operates as a subsidiary of GOLD effective January 31, 2023. The other 49% ownership is EXLITES HOLDINGS INTERNATIONAL INC. a New Mexico corporation with a public trading symbol of EXHI. The Company issued 100,000 PREFERRED SERIES B to Devon Medical Products as payment. (see table in ITEM 12. SECURITY OWNERSHIP OF MANAGEMENT AND CERTAIN SECURITY HOLDERS). These shares are convertible to Common Shares with a 50% discount to the current traded price, at the sold discretion of the shareholder. These shares are included in this offering for registration.

The Company has recently expanded its healthcare operations with a 20% ownership in MEDWORX A INC, a medical billing company, during the first quarter of 2024. The Company issued the sum THREE BILLION FIVE HUNDRED THOUSAND (3,500,000,000) Shares of GEGP's Common Stock to MEDIWORX's shareholders or their assignees, for the purchase of TWENTY PERCENT (20%) of MEDIWORXS's Common Shares or equivalent LLC membership interests) ; and (ii) that GEGP's Management shall perform a registration of the Common Stock as supplied to MEDIWORX's shareholders on the terms and subject to the conditions set forth in the attached agreement EXHIBIT 10.1

Well Billy, I still hope you get a chance to contact Mr Fytton in the future but it looks like we’ve pretty much been abandoned. I just don’t think they are trying to make any progress, they can only blame it on the speed of the SEC, etc so many times.

Fear that the agreements they were targeting were never really going to benefit any of the parties so it’s pretty bleak for anything going forward. Anything could happen but history shows it probably won’t.

We may never know why all the filing work was done and then no progress … not even a “pump” of news to give folks a chance to trade up or down

Confusing and frustrating - hope all is well with you (as well as others on the board here).

Fingers crossed we don’t see the .0000 x .0001 bid/ask - that’s usually the beginning of the end.

Hard to believe there’s so little respect for the shareholders, unfortunately that’s how it is in the OTC when a stock makes no progress month after month after month. One thing about never communicating is you never have to backtrack nor apologize. Sad tactic.

Appreciate your optimism, I’m hoping for the same thing. There has to be a reason to get and keep the filings up to date, maybe deals get close then don’t complete? Have a gut feeling he’s been positioning to make a splash with stock … feast or famine. Been famine for years though.

Hey buddy, no he didn’t. I will reach out soon. I have faith he hasn’t abandoned us. I do think 2025 has to be the make or break year. We’re current, there was no massive sell offs at end of year. Just wish GEGP had someone who could communicate with the shareholders. I mean we went to 0041 in Sept 21 on no news. This thing is so thin that with communication it could be hovering waaaaay more (in my opinion)

Hope is probably accurate for most here with the same plan to get out. The only “communication”since coming back from caveat emptor in 2017 are the filings. Been nothing but speculation by any of us wondering why they’ve kept the quarterlies and annuals current since 2021. Unaudited of course, just attorney letters.

Think most are hoping for a reverse merger (or anything actually) but they won’t even put out a newsletter or produce an informative website. I personally went ahead and took some losses for tax purposes in 2024 …
