                               Board Appointment

GR (Holdings) plc, (the "Company") is pleased to announce that Mr AD Stalbow,
Chairman of the Company, has appointed Mr N Stalbow, his son, as an alternate
director with effect from 20 December 2005. Mr N Stalbow will be entitled to
attend all the Company's board meetings and vote in respect of Mr AD Stalbow,
when he is absent.

Mr N Stalbow, age 34, is a solicitor practising in the Projects Group at City
law firm, Ashurst.



Mr N Stalbow has no present directorships.

He was director of Friction Bites Limited. The company is in liquidation
following a creditors' voluntary liquidation.

Save for the above, there are no updated disclosures to be made in respect of
the appointment of Mr N Stalbow under rule 17 and under Schedule 2 paragraph (g)
of the AIM rules.
