Board and
Board Committee Changes
Kainos Group plc (KNOS), a
UK-headquartered provider of sophisticated IT services with
expertise across three divisions: Digital Services, Workday
Services, and Workday Products, today announces the following Board
and Board Committee changes:
- Tom
Burnet, Independent Non-Executive Director, Board Chair and Chair
of the Nominations Committee, will complete his term on the Board
following the Company's Annual General Meeting on 24 September
2024.
- Andy
Malpass, Independent Non-Executive Director, Senior Independent
Director and Chair of the Audit Committee will complete his term on
the Board after the Company's Annual General Meeting on 24
September 2024. Andy will step down as Chair of the Audit Committee
with effect from 01 June 2024 but will remain a member of the Audit
Committee until the conclusion of the Company's Annual General
Meeting on 24 September 2024.
- Rosaleen
Blair, Independent Non-Executive Director, member of the
Nominations Committee, member of the Audit Committee and member of
the Remuneration Committee will succeed Tom as the new Board Chair
and Chair of the Nominations Committee, with effect from the
conclusion of the Company's Annual General Meeting on 24 September
2024. At this time, in compliance with the Corporate Governance
Code, Rosaleen will step down as a member of the Audit Committee.
- James Kidd
Independent Non-Executive Director, member of the Audit Committee
and member of the Remuneration Committee will assume the role of
Chair of the Audit Committee with effect from 01 June 2024 and with
effect from the conclusion of the Company's Annual General Meeting
on 24 September 2024will assume the role of Senior Independent
Director, succeeding Andy and will become a member of the
Nominations Committee

changes:

the completion of Tom and Andy's term on our Board. Tom and
Andy were both appointed Non-Executive Directors at our IPO in 2015
and over the past nine years have been instrumental in establishing
Kainos as a leading public company.

energy, insight and guidance that Tom and Andy brought to the
business during their time on our Board.
We are delighted that Rosaleen will
be assuming the position of Board Chair and James' market experience makes him ideally placed for the role
of Senior Independent Director."
