Pershing Square backs Kraft split

SAN FRANCISCO (MarketWatch)-- Hedge fund manager Bill Ackman said Thursday he backs Kraft Foods (KFT:$35.0800,$0.7800,2.27%) plan to split the $62 billion company into two. "We believe Kraft (KFT:$35.0800,$0.7800,2.27%) has been underappreciated by the market," Ackman told MarketWatch. "This transaction is great for shareholders and the spin off will help solve that problem." Ackman runs Pershing Square Capital Management, which is known for its value-style investing and for its shareholder activism. As of March 31, Pershing was Kraft's (KFT:$35.0800,$0.7800,2.27%) 10th largest shareholder with 22.2 million shares, or 1% of common shares outstanding. Kraft (KFT:$35.0800,$0.7800,2.27%) outlined plans Thursday to make its global snacks business and North American grocery empire into two standalone companies that would be publicly traded. The split is expected to happen in 2012. Kraft (KFT:$35.0800,$0.7800,2.27%) shares rose 3% to $35.22 in early afternoon trades.

Kraft Food Inc. Thursday said it would divide itself in two, spinning off its snack division from its U.S. grocery business.
"We have built two strong, but distinct portfolios. Our strategic actions have put us in a position to create two great companies," said Chairman and Chief Executive Officer Irene Rosenfeld in a statement.
The division will allow global snacks to concentrate on "fast-growing developing markets" 18 months after the purchase of European candy maker Cadbury.
"A series of strategic acquisitions, notably of LU biscuit from Danone (GPDNF:$73.6500,$0.0000,0.00%) and of Cadbury Plc, together with the strong organic growth of its Power Brands, have made Kraft Foods (KFT:$34.3000,$0.1600,0.47%) the world's leading snacks company," the statement said.
Kraft (KFT:$34.3000,$0.1600,0.47%) said an independent company concentrating on snacks would have revenues of about $32 billion "and a strong growth profile across numerous fast-growing, attractive markets.
About 75 percent of revenues would come from outside the United States, while 42 percent would come from developing markets, Kraft (KFT:$34.3000,$0.1600,0.47%) said.
The grocery business, meanwhile, would have revenues estimated at $16 billion.
"This business would be one of the largest food and beverage companies in North America. Its portfolio would include many of the most popular food brands on the continent," Kraft (KFT:$34.3000,$0.1600,0.47%) said.

NEW YORK, Aug 4 (Reuters) - Kraft Foods Inc (KFT:$34.3000,$0.1600,0.47%) CEO Irene Rosenfeld is breaking up the food giant she helped create through multibillion-dollar deals, with a plan to split Oreo cookies and Cadbury chocolates from Kraft (KFT:$34.3000,$0.1600,0.47%) cheese and other groceries.
North America's largest packaged foods company said on Thursday it expects a tax-free spin-off of the North American grocery business to be completed by the end of 2012.
It also reported better-than-expected second-quarter earnings and raised its full-year outlook.
Kraft (KFT:$34.3000,$0.1600,0.47%) shares were up 6.1 percent at $36.40 in premarket trading.
Kraft (KFT:$34.3000,$0.1600,0.47%) is the latest consumer goods company to separate its units in order to focus them better and offer shareholders distinct investment opportunities. Fortune Brands Inc (FO:$57.9400,$0.7400,1.29%) , which also reported earnings on Thursday, and Sara Lee Corp (SLE:$19.0400,$-0.0700,-0.37%) are also spinning off units.
A year and a half after buying Britain's Cadbury, Kraft (KFT:$34.3000,$0.1600,0.47%) said its snack business and North American grocery business now "differ in their future strategic priorities, growth profiles and operational focus."
The snack business, with annual sales of $32 billion, operates in high-growth emerging markets with products like Oreo and Lu cookies, Cadbury and Milka chocolates, Trident gum and Tang powdered drinks. The Lu business, purchased from France's Danone , was another high-profile acquisition under Rosenfeld.
The North American grocery business, with annual sales of $16 billion, is focused in more mature markets but has high profit margins with products like Kraft (KFT:$34.3000,$0.1600,0.47%) , Velveeta and Philadelphia cheeses, Maxwell House coffee and Capri Sun drinks. That company will also include non-snack categories in Canada and Kraft's (KFT:$34.3000,$0.1600,0.47%) food service business.
Separately, Kraft (KFT:$34.3000,$0.1600,0.47%) reported second-quarter adjusted earnings of 62 cents per share, topping analysts' average estimate of 58 cents, according to Thomson Reuters I/B/E/S.
Net revenue was $13.9 billion, up 13.3 percent, driven by growth in all regions. Organic revenue rose 7.1 percent, with price increases contributing 5.5 percentage points of that rise, and the rest coming from volume and mix of products.
The company also said it now expects 2011 operating earnings of at least $2.25 per share and organic revenue to grow by at least 5 percent. Its prior forecast called for earnings of at least $2.20 per share and revenue growth of at least 4 percent. LONDON (AP) -- British chocolate and gum maker Cadbury PLC on Wednesday upgraded its outlook as it reported a 7 percent rise in third-quarter revenue -- proof, it said, that it does not need to be taken over by a conglomerate like Kraft to deliver results.

In a report on July 9, the company had forecast revenue growth at the lower end of that range.
Cadbury also forecast an improvement of 1.35 percentage points in its profit margin for the year, up from earlier guidance of a 0.80 to 1.00 percentage point increase.
"This puts the ball firmly back in Kraft's court, and is exactly what Cadbury shareholders would have hoped for," said Graham Jones, analyst at Panmure Gordon & Co. He called the third-quarter update "hugely impressive."
"We think this statement, plus confidence expressed about 2010 and 2011, significantly reduces the chance of Cadbury being acquired on the cheap and as such we raised our target price from 860 pence to 900 pence," Jones said.
Some analysts noted that another consumer products conglomerate, Unilever, could make a rival offer.
Cadbury shares were up 0.1 percent at 799.5 pence in early trading on the London Stock Exchange
However, Martin Deboo, analyst at Investec Securities, was less enthusiastic. He said the guidance upgrade was not overly impressive and may be hard to sustain.
"For Cadbury to maintain their independence, they are going to need to convince the market that their improved FY 2009 momentum is more than just a flash in the pan and is indicative of what can be delivered in FY 2010 and beyond," Deboo added.
Kraft faces a Nov. 9 "put up or shut up" deadline set by London's Takeover Panel to make a firm offer for Cadbury or walk away for six months.
Kraft's initial approach, disclosed in September, valued Cadbury at $16.7 billion, or about 745 pence per share.
"We continue to take the view that Kraft may need to increase the cash element of its offer and probably raise the value of the total offer to (around) 850 pence per Cadbury share to stand a chance," Charles Stanley and Co. said in a research note circulated Tuesday.
Cadbury said third-quarter revenue from chocolate rose 7 percent on a constant currency basis, candy rose 11 percent and gum 4 percent.
Revenue from South America was up 18 percent and Asia-Middle East-Africa produced a 14 percent gain.
"The strength of our operating performance continues to underpin the Board's confidence in both our growth prospects and the potential for creating further, material shareholder value as a pure play standalone confectionery business," said Cadbury chairman Roger Carr.

J.M. Smucker kills estimates in Q1

The J.M. Smucker Company (NYSE: SJM), a food manufacturer famous for its jelly and baking products, reported a great first quarter on Friday. Adjusted earnings per share increased 12% to 92 cents. According to Reuters, management was able to beat expectations by a whopping 12 cents.
This is quite impressive given the fact that an analyst quoted by Reuters believes that more people eating at home are helping to fuel Smucker's success. I say this because, if people are deciding to dine at home more often, they are most likely doing so because of the recession.
Yet, if this is the case, then one might expect private-label brands to put pressure on name brands such as Smucker. Obviously, the company is holding its own. Brand equity can certainly pay off, not only for Smucker but for colleagues such as Kraft (NYSE: KFT) and ConAgra (NYSE: CAG).
Now, however, I must make mention of some bad points. According to the press release, the top line, excluding the effect of the Folgers acquisition and the influence of the currency markets, decreased 1%. Not a huge drop, but a drop nevertheless. And cash was used for operations during the quarter. In last year's Q1, cash was generated from Smucker's businesses. I never like it when cash flow is not positive, but I'll take management's word that investors should keep in mind that this is just the first quarter and that cash flows should improve later on in the fiscal year. I see the point: at the moment, the company wants to build inventories for the upcoming fall/winter selling season, including stock related to coffee (management said this latter activity was a prudent move ahead of the Atlantic hurricane cycle).
In general, I think Smucker did well during Q1, and I expect it to keep the fundamental momentum at a strong level. I like the brand mix, I believe the margins will be attractive going forward, and I am bullish on the ability of the Folgers acquisition to create value over the long term. Shares of Smucker closed higher on Friday by over 4%. They're near a 52-week high. I am of the opinion that they may be going higher still.
