BOSTON, April 29 /PRNewswire-FirstCall/ -- At a meeting
held on April 26, 2010, the Board of
Trustees of Eaton Vance Tax-Managed Diversified Equity Income Fund
(the "Fund") (NYSE: ETY), a closed-end investment company, voted to
hold the Annual Meeting of Shareholders of the Fund on Friday, August 27, 2010 at 3:00 p.m. (EDT). The meeting will be held at the
principal office of the Fund, Two International Place, Boston, Massachusetts 02110. Proxy materials
will be mailed on or about June 23,
2010 to shareholders of record on June 11, 2010. Shareholders will be asked to vote
on the election of three Class I Trustees of the Fund.
