the nomination of Mr. Vittorio Violo as a Director of the Company. This
nomination follows the death of Mr. Richard Batty on January 7, 2012.


"Mr. Batty was an active member of our Board of Directors since 2009. His
contribution to the Company was substantial and his support for the management
team was highly appreciated. All of Odesia's directors and employees wish to
offer their sincere condolences to the family and friends of Mr. Batty" declared

Vittorio Violo is COO of PNS-TECH inc., a Quebec based manufacturer. He also
serves on various strategic management committees of Sigma Industries, a
publicly traded company on the TSX Venture.


Mr. Violo worked for eight years in Canadian capital markets as an investment
advisor where he developed expertise in mergers and acquisitions, and corporate
finance. During this period Mr. Violo successfully completed numerous management
courses from the Canadian Securities Institute, including Investment Management
Techniques and Partner, Directors and Senior Officer.
