    CHANGE IN SUBSTANTIAL SHAREHOLDING


    Blackthorn Resources Limited (ASX: BTR; AIM: BRL) (the "Company") received notification today that on 31 December 2008, North Sound
Legacy Institutional Fund LLC ("Fund I"), North Sound Legacy International Fund Ltd ("Fund II), North Sound Capital LLC and Thomas McAuley,
collectively North Sound, is interested in 8,575,230** Ordinary Shares representing 8.02% of the issued share capital of the Company.

    The Ordinary Shares are held:

    i)      5,488,147** Ordinary Shares by Fund I
    ii)     3,087,083** Ordinary Shares by Fund II

    ** post consolidation
