Pursuant to Hamish Bryce's remuneration agreement with Heywood Williams Group
Plc, it is announced that on 23 November 1999 Mr Bryce acquired 1176 ordinary
shares of 25p each in the Company at a price of 236p per share.

Following this purchase Mr Bryce is interested in a total of 35,747 ordinary
shares.
