Issue of Offer Ordinary Shares

Further to the publication of the prospectus setting out details of, inter alia, the offer for subscription, the Company is pleased to announce that it has today allotted 3,052,825 Offer Ordinary Shares of nominal value GBP0.02 in the capital of the Company at a price of GBP0.17 per share ("Share Allotment") in exchange for subscriptions equal to GBP318,980. The "Offer Ordinary Shares", are defined in the prospectus http://vordere.com/investor-relations/prospectus/.

The Company's total issued share capital as of the date of this announcement is 183,256,247 of shares of nominal value GBP0.02. Therefore, the total number of voting rights in the Company is 183,256,247. Following the Share Allotment, the issued share capital will be 186,309,072 shares. The Company does not hold any Ordinary Shares in Treasury. The total voting rights is therefore 186,309,072 shares.

An application will be made for the Offer Ordinary Shares to be admitted to the standard segment of the Official List and to trading on the London Stock Exchange's main market for listed securities. It is expected that admission will become effective and that unconditional dealings will commence on the London Stock Exchange within five business days of date of allotment.

The issued share capital figure above may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
