Item 8.01. Other Events.

On November 13, 2019, Tribune Publishing Company (the “Company”) announced that its Board of Directors (the “Board”) approved the initiation of a cash dividend program under which the Company intends to declare regular quarterly cash dividends in respect of each share of the Company’s outstanding common stock. In conjunction therewith, the Board declared a cash dividend of $0.25 per share of common stock, which will be payable on December 10, 2019 to the Company’s shareholders of record as of the close of business on November 25, 2019. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
