Explanation of Responses:
(1)  Mr. Ferro elected to forgo any vesting of the restricted shares granted in August 2017 by retiring from the Board of Directors on March 18, 2018.
(2)  Merrick Venture Management, LLC is the sole manager of Merrick Media, LLC. Mr. Ferro serves as the manager of Merrick Venture Management, LLC. Mr. Ferro disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein.
(3)  Stock units convert into common stock on a one-for-one basis.
(4)  These stock units had previously vested. They settled in shares of the Issuer's common stock upon Mr. Ferro's retirement from the Board of Directors of the Issuer.
