Amira Nature Foods, Ltd Receives NYSE Notice Regarding Late Form 20-F Filing

Amira Nature Food, Ltd (NYSE: ANFI) (the
“Company”), announced today that New York Stock Exchange
Regulation, Inc., (“NYSE”) by letter dated August 16, 2019 notified
the Company that it was not in compliance with the NYSE’s continued
listing requirements because the Company did not timely file its
Annual Report on Form 20-F for the fiscal year ended March 31,
2019. The letter further notified the Company that its failure to
hold an annual meeting for the year ended March 31, 2019 violated
Section 302 of the NYSE Listed Company Manual.
Under the NYSE’s rules, the Company has a period of six months,
or until February 16, 2020, to file its Form 20-F. The Company can
regain compliance with the NYSE continued listing requirements at
any time before that date by filing the Form 20-F with the SEC. The
Company would be expected to hold its annual meeting as promptly as
practicable thereafter.
As reported in the Form 12b-25 filed with the SEC on July 31,
2019, the Company experienced unexpected delays in the completion
of the audit of its financial statements for the year ended March
31, 2019 because of corporate organization restructuring that
occurred as a result of the de-consolidation of the Indian
subsidiary as of November 18, 2018. The Company intends to file its
Form 20-F as soon as practicable.
The NYSE notification has no impact on the Company’s business
operations.
