TreeCon Resources, Inc.: No Agreement Reached With Creasy LUFKIN, Texas, Sept. 24 /PRNewswire-FirstCall/ -- TreeCon Resources, Inc. today announced no agreement was reached with representatives of Wayne Creasy regarding a possible investment in the Company or other transaction. As previously announced the Company intends to deregister its Common Stock under the Securities Exchange Act of 1934. The deregistration will be effected by the filing of a Form 15 with the Securities and Exchange Commission. The form will be filed on September 30, 2004. Upon filing of a Form 15, the Company's obligation to file certain reports and forms, including Forms 10-K, 10-Q and 8-K, with the SEC will immediately be suspended. The Company intends to continue making its financial information available to shareholders. The Company anticipates that its common stock will be quoted over-the-counter in the Pink Sheets following the Form 15 filing to the extent market makers commit to make a market in its shares, although the Company can provide no assurance that trading in the stock will continue. Certain of the statements contained in this report (other than the financial statements and other statements of historical fact) are forward-looking statements. Words such as "expects" and "believes" and "anticipates" indicate the presence of forward-looking statements. There can be no assurance that future developments will be in accordance with management's expectations or that the effect of future developments on us will be those anticipated by management. Among the factors that could cause actual results to differ materially from estimates reflected in such forward-looking statements are competitive pressures on sales and pricing, including those from other wholesale distributors and those retailers in competition with our customers; and uncertainties associated with our national sales initiative. See the Company's most recent Form 10-Q for additional such factors. DATASOURCE: TreeCon Resources, Inc. CONTACT: Deborah Huffman or Mike Boatman, both of TreeCon Resources, Inc., +1-936-634-3365
