John Cumming, President of ComWest Enterprise Corp., ("ComWest") (TSX
VENTURE:CWP)(TSX VENTURE:CWP.A) and Rolf Papsdorf, Chief Executive Officer of
Alternative Energy Development Corporation Ltd. (AEDC) (public unlisted) jointly
announce that the corporations have entered into a standstill letter agreement.


Pursuant to the terms of the letter agreement, ComWest has engaged a qualified
third party consultant to perform on site due diligence, information gathering
and analysis on AEDC and to prepare an evaluation report by early September,
2008. Subject to the independent consultants report being acceptable to the
ComWest board of directors, the parties have agreed to negotiate, on a best
efforts basis, mutually acceptable terms and conditions whereby ComWest could
acquire up to a 100% interest in AEDC in exchange for non-voting shares of
ComWest. ComWest and AEDC have not reached agreement on the terms and conditions
of the share exchange and no further negotiations are expected to take place
until the evaluation report is completed.


During the due diligence period and ending September 15, 2008, neither
corporation will pursue any other acquisition, partnership opportunity or other
competing transaction. If the due diligence report is acceptable the standstill
arrangement may be extended by mutual agreement pending acquisition
negotiations.


If acquisition negotiations are successful following receipt of the evaluation
report then any acquisition agreement would be subject to board of directors,
shareholder and regulatory approvals on behalf of ComWest and on board of
directors approval and shareholder acceptance by AEDC.


About AEDC

AEDC, an unlisted South African public company with some 250 shareholders in
various countries, has developed a low-cost zinc-air fuel cell that provides
electrical power to appliances for areas that do not have electrical
infrastructure. The AEDC fuel cells are designed to deliver uninterrupted power
for up to 240 hrs. The typical output is 12 Volt DC, 4000 Watt hours with a
maximum energy draw of 5 Amps. AEDC fuel cells may be used for non grid
electrification in rural areas and outdoor use for camping and providing basic
energy for a variety of applications. The replacement of the anodes can be done
manually in the field, does not require special tools and can be done within 15
minutes. The fuel cells are environmentally friendly and do not produce waste or
toxic components.


AEDC has placed a strong emphasis on socially responsible development, with a
particular focus on providing rural communities that have no electrical
infrastructure with affordable basic electricity, while stimulating sustainable
economic activity in these areas. The fuel cells were rolled out in 2006 through
a project in Rosh Pinah, a rural community in Namibia that saw the
electrification of houses, shops and street pole lights and created sustainable
job opportunities for the locals. EXXARO, a wholly owned Black Economic
Empowerment (BEE) company, sponsored the pilot project and is currently working
with AEDC to sponsor other projects to electrify villages in the vicinity of
their mines using AEDC fuel cells. In addition to interests in Namibia,
Australia and China, EXXARO is the largest black-controlled diversified mining
company and the only major zinc producer in South Africa. It is the
fourth-largest South African coal producer and the third-largest global producer
of mineral sands.


Earlier this year, AEDC won the national Energy Globe Award for Namibia under
the section: "rural sustainable alternative energy". The Energy Globe Awards,
endorsed by former UN secretary general Kofi Annan and Nobel peace prize winner
Michail Gorbatschow, received more than 853 entries from 109 countries. In
congratulating the National award winners, former UN Secretary General Annan
said: "the Energy Globe Awards demonstrate that clean and modern forms of energy
to drive sustainable development and reduce environmental impacts are available
now. I congratulate all the awardees for their commitment to this cause and for
their contributions to the work of the United Nations." According to the
International Energy Agency (IEA) 1.6 billion people across the globe do not
have access to electricity.


The Southern Africa Enterprise Development Fund (SAEDF) has recently agreed to
provide US$99 000 in funding for an AEDC electrification project in Malawi,
South Africa. Further funding for projects in Zambia and other Southern African
countries are under investigation. SAEDF is an initiative of the Former
President William Clinton of the United States, Former President Nelson Mandela
of the Republic of South Africa, and the US Congress for the specific purpose of
providing funding to stimulate the creation and expansion of small and
medium-size indigenous businesses throughout southern Africa. SAEDF has also
made a small equity investment in AEDC.
