Researchers at Stanford University and King Fahd University of Petroleum and Minerals in Saudi Arabia have developed a prototype device that can produce ammonia—a key fertilizer ingredient—using wind energy to draw air through a mesh.

The approach they developed, if perfected, might eliminate the need for a century-old method that produces ammonia by combining nitrogen and hydrogen at high pressures and temperatures. The older method consumes 2% of global energy and contributes 1% of annual carbon dioxide emissions from its reliance on natural gas.

I think the Fuelpositive process is hitting some head winds. Grey Ammonia in October 24 is selling for $560 per ton while Blue Ammonia is selling for $588 per ton. The initial sales plan calls for the Fuelpositive process to cost about $560 per ton. This would make the process not very attractive in the short run given current interest rates and other cost factors. And the Trump Administration is planning to open the United States Natural Gas production wide open in January 2025. I think the boys delayed this project so long the economics of their process has been severely eroded.

This funding, with existing commitments from a dedicated long-term shareholder and new investors, including Manitoba-based farmers, will allow the Company to complete the final phase of pressure vessel certification, secure third-party engineering certifications, and move forward with the final step: connecting the system to Manitoba's green grid.

Terms of the Offering:

FuelPositive Corporation will offer (the "Offering") up to 26,666,667 units (each, a "Unit") by way non-brokered private placement at a price of $0.03 per Unit for gross proceeds of up to $800,000. Each Unit will consist of one common share of the Company and one common share purchase warrant (each, a "Warrant"). Each Warrant will be exercisable at a price of $0.05 for a period of sixty months, provided that in the event the ten-day volume-weighted average closing price of the common shares of the Company on the TSX Venture Exchange exceeds $0.40, the Company will have the right to accelerate the expiry of the Warrants.

The Company has received initial commitments of over $300,000 for the Offering and expects to complete the offering on or before December 31, 2024. The Company intends to utilize the gross proceeds from the Offering to address current outstanding payables incurred in the ordinary course of business and to provide working capital to sustain operations and bring the Manitoba-based system to activation. Except for compensation to directors and officers of the Company in the ordinary course of business, the Company does not anticipate any portion of the proceeds of the Offering will be utilized for payments to non-arms-length parties or persons engaged in investor relations activities.

The Company also announces that it will settle (the "Debt Settlement") outstanding indebtedness totaling $278,940.51 through the issuance of a further 9,298,017 Units at a deemed price of $0.03 per Unit. The Indebtedness is owing by the Company to certain arms-length suppliers and was incurred in connection with the ongoing operations of the Company.

All securities issued in connection with the Offering and the Debt Settlement will be subject to restrictions on resale for a period of four-months-and-one-day in accordance with applicable securities laws. In connection with completion of the Offering, the Company may pay finders' fees to eligible third-parties who have assisted in introducing subscribers to the Offering. Completion of the Offering and the Debt Settlement remain subject to the approval of the TSX Venture Exchange.

Sent my follow-up email on November 2, 2024. Still no reply. Looks like a stonewall has formed. Maybe real trouble. USA election will have a major impact on Green New Deal projects. Lots of grey Ammonia production on the horizon.

I am a stockholder in your company and have been waiting for an announcement the pilot farm system has begun operations on commercial power. Your September news release is vague on two areas. I respectfully request you clarify the areas. They are:

1. You state the QPS certification will be completed once additional capital is secured. Who does this apply to? QPS or Fuelpositive?
2. You state it will take three weeks for QPS to complete the certification. Has that effort begun/completed.

I read that too. The last Pr apparently separates the installation of *power and the actual permission to use the power from the Green Grid. Before I go on. FP Pr's are over detailed yet not clear. They are then exacerbated by their not making the timelines they forecast. I am long here but their Pr's are a big part of the reason the share price drops with each one they issue. In short They Suck. But back to the claim of completed work. IMO they are referring to the hardware installation. Which means the wiring, transformers and other items are installed. To activate the link to Manitoba's grid they still need to pass a couple certification items. From 9-25 Pr: "Linking the FuelPositive system to the grid is the final step before activation, which will occur once Manitoba Hydro approves the individual certification of each system container on-site."
Note that this is the step after securing the permit which was my last post. Per their Pr the permit should have been granted over a week ago by their estimates. And again they have been using temporary power for the permit process and they can continue to do so. So with a permit they should be able to claim a functioning FP 300 on site, Just not connected to the Manitoba green grid yet. That will happen later. This IMO is almost where we want to be and the Company plans to start marketing hard per their Pr "Once the permit is secured, FuelPositive will promptly announce this significant milestone to shareholders, marking not only a major step forward toward the activation of the system, but also one of the final steps in the process, bringing the Company closer to its next phase of growth."
In short IMO any day now... We are over due for Permit announcement and subsequent SP appreciation. DYODD

I read in the Linkedin attachment the following :Manitoba Hydro resumed work on Tuesday September 17, and has confirmed that the work was completed on Friday October 4.

This means power is now available for full production power up. I thought management was to keep shareholders fully updated as events happen!

Neverhad: You certainly have good reason to feel that way. Believe me those same thoughts go through my mind with every Pr that comes out. As for my post. From what I see, the Pr says that the Permit requirements will be finished by tomorrow and submitted for final review. The review and final permitting should take a week which puts us at next Friday. This is separate from permission to connect to the Manitoba electrical grid. That process should take a couple to a few more weeks. So in about eight days they can start claiming that the FP300 is Functional and Permitted. IMO the permit is the most key part of the process. Even though the Power situation is not what we want it is IMO something that will be accomplished. The functioning & permitted device on site is the most important milestone in my mind because up to this point there was the possibility that it would not function or be permitted. Its just too bad that this great news is lost because the electrical grid connection issue with Manitoba Hydro. As always DYODD.

So the way I interpret this Pr: The end of this week final requirements will be submitted to Manitoba Inspection and Technical Services (ITS): Then it should take them a week for final approval. Upon final approval we will finally be able to say we have an operational device, certified on farm producing Ammonia... This could be big IMO.

This meeting represents an important opportunity for FuelPositive to engage directly with government leaders, highlighting the Company's commitment to collaboration and its ongoing initiatives.

On September 18, FuelPositive had the opportunity to meet with the Manitoba Minister of Environment and Climate Change, Tracy Schmidt, with key staff DM Paul McConnell, ADM Neil Cunningham and DOMA Julia Antonyshyn to discuss the potential of Green Ammonia in the province. During this meeting, we learned that Green Ammonia has been a key topic in recent cabinet-level budget discussions, reflecting potential upcoming strong support for the technology and its promising growth potential.

FuelPositive also submitted a policy briefing to help prioritize farmers using Green Ammonia. With the support and guidance of Counsel PA, the Company advocates for incentives to benefit all Green Ammonia end-users, especially in the agricultural sector.

FuelPositive is optimistic that these meetings will translate into meaningful support from the new provincial government, accelerating the Company's ability to scale its operations and drive impactful growth throughout Manitoba and beyond.

Approvals and Project Timeline Update

Manitoba Inspection and Technical Services (ITS):

FuelPositive has made significant progress toward securing the final ITS operating permit, with recent developments dramatically accelerating the approval process. Following a successful meeting with the Ministry of Labour, the timeline for the permit's approval has been shortened from twelve weeks to just one week, underscoring the enthusiastic support for FuelPositive's efforts in Manitoba.

In late August, FuelPositive held a critical site meeting with ITS engineers and FuelPositive mechanical contractors Wescan, to advance the operational approval timeline. Four senior engineers from ITS were in attendance, and they voiced strong support for the Company's innovative Green Ammonia technology and its ambitious goals in the province.

The meeting reaffirmed the high-quality work completed by FuelPositive and its partners, with only a few remaining items requiring clarification before ITS can issue the final operating permit. The Company has addressed the majority of outstanding questions, and the final clarifications will be submitted by the end of this week. Final adjustments are being made without the need for redesigns, ensuring smooth progress. The Company's Head of Mechanical Engineering and Project Completion Co-Lead, Martin Cina, and Senior Engineer of Record, Hamza Aldaghstany, are leading the effort to provide all necessary clarifications and documents swiftly.

By the end of this week, FuelPositive will have submitted all the required information to ITS. Based on recent discussions, the Company has been advised that the final review will take approximately one week. No further issues have been indicated, and we anticipate that the final permit will be issued very soon.

Manitoba Hydro Service Connection to Site and FuelPositive System Grid Integration:

FuelPositive is nearing a critical milestone in connecting its system to Manitoba Hydro's green grid. Despite recent above-average rainfall causing a brief delay for farmers and FuelPositive, the Company has been informed that the final connection will be completed in the coming days.

Manitoba Hydro began work on the underground cabling route on September 9, successfully staking the path to supply power to the site. Although the connection was initially scheduled to be completed on September 17, intensive rain caused a temporary pause. Work is expected to resume this week, and FuelPositive anticipates completion of the connection by the end of the week. Shareholders will be promptly updated once the service goes live.

Linking the FuelPositive system to the grid is the final step before activation, which will occur once Manitoba Hydro approves the individual certification of each system container on-site. FuelPositive is collaborating closely with QPS, a strategic Canadian engineering firm specializing in third-party certifications for various entities, including Manitoba Hydro. While a portion of the certification has been completed, recent cost-saving measures led to a temporary pause. However, FuelPositive is consistently evaluating diverse capital options to support the Company's near-term needs and growth. Once additional capital is secured, QPS is prepared to resume and finalize the certification work, which is expected to take approximately three weeks.

Importantly, FuelPositive remains committed to producing Green Ammonia only when the system is fully connected to a green grid but will continue testing and activation readiness using non-grid power sources in the interim.

Once all final steps involving ITS, Manitoba Hydro, and QPS are completed, FuelPositive expects its team to activate the system within about two weeks.

The connection of the FuelPositive system to the grid will mark a significant milestone for the Company and its shareholders. It will allow FuelPositive to demonstrate its groundbreaking Green Ammonia technology and production capabilities.

Following activation, the Company will be ready to begin selling systems, a long-awaited goal for the Company and its shareholders.

The Path Forward

Green Ammonia produced on-site using a new and novel process, is recognized as a new type of fertilizer, which could benefit from a government compliance market. Initially, FuelPositive will likely start monetizing emission reductions in the voluntary market to enable immediate offsets at a discount to the ultimate benefit of compliance offsets. In Canada, carbon credits are categorized into two main types: compliance credits and voluntary credits. Compliance credits are part of regulatory frameworks established by provincial governments, including the Government of Manitoba, which set limits on greenhouse gas emissions. Companies that exceed these limits must purchase compliance credits to offset their excess emissions, creating a financial incentive to reduce their carbon footprint. The 8-inches of rain they got over the last few days might be slowing them down.
Southern Manitoba was hit with torrential downpours, overland flooding and thunderstorms at the start of the week, with some communities receiving upwards of 200 millimetres (mm) of rain.

According to Environment and Climate Change Canada (ECCC), the rainfall began on Monday and moved into Ontario by Tuesday afternoon.

Over the span of 36 hours, many southern Manitoba communities received large rainfall amounts, including Elma, which got 205.2 mm; Ste. Pierre-Jolys, which was hit with 167 mm; and Steinbach, which received 155.5 mm.

Power to the demonstration site is scheduled for two weeks from tomorrow. September 17th. Final certification requirements should be completed or near complete by then. Full power likely is required to run the FP300 for certification (I'm assuming) IMO this should end uncertainty that has led to the wavering share price. It will hopefully mark the start of continued upward movement. We can then start thinking about their goal of..." to initially scale production to 500 FP1500 systems annually" Note one FP1500 sells for ~ $4 to $4.5MM
