On August 4, 2022 Director Shalom Auerbach tendered his resignation in writing as
a Director of American Metals Recovery and Recycling Inc. to the Board of Directors. The resignation as a Director was not the result
of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
