(1)  Mr. Ward beneficially owns an aggregate of 24,744,084 common shares (23,744,084 Directly and 1,000,000 Indirectly). As a result of Mr. Ward's ownership of 23,744,084 common shares directly, 1,000,000 shares indirectly which are held by Nicole Archon and 1,000 Series A Preferred Shares, he holds approximately 90% of the votes on all matters submitted to a vote of our stockholders.
