$450 Million Medium Term Note Offering

TORONTO--(BUSINESS WIRE)--July 10, 2001--The Thomson Corporation
(TSE:TOC) announced today that it will issue Cdn.$450 million of 6.55%
Medium Term Notes due July 17, 2007.
The syndicate for the offering will include TD Securities Inc.,
BMO Nesbitt Burns Inc., CIBC World Markets Inc., RBC Dominion
Securities Inc. and Scotia Capital Inc.
The Medium Term Notes will bear interest at 6.55% per annum,
payable semi-annually on January 17 and July 17 commencing January 17,
2002. The Medium Term Notes will be direct unsecured obligations of
The Thomson Corporation. Proceeds of the offering will be used for
general corporate purposes, including the repayment of indebtedness.
The offering is expected to close on July 17, 2001.
