IF BONDHOLDERS ARE IN ANY DOUBT AS TO THE ACTION THEY SHOULD TAKE, THEY SHOULD IMMEDIATELY CONSULT THEIR OWN INDEPENDENT PROFESSIONAL ADVISERS AUTHORISED UNDER THE FINANCIAL SERVICES AND MARKETS ACT 2000, AS AMENDED (IF THEY ARE LOCATED IN THE UNITED KINGDOM), OR FROM OTHER APPROPRIATELY AUTHORISED INDEPENDENT PROFESSIONAL ADVISERS (IF THEY ARE LOCATED OUTSIDE OF THE UNITED KINGDOM).

NOTICE OF WAIVER OF EVENT OF DEFAULT

to the holders of the

GBP398,680,000 1.972 PER CENT. Index-Linked Guaranteed Secured Bonds due 2044 (ISIN No: XS0257525112)

(the "Bondholders" and the "Bonds", respectively of the Issuer presently outstanding)

Terms used but not otherwise defined in this notice shall have the meanings given to them in the terms and conditions of the Bonds (the "Conditions").

NOTICE IS HEREBY GIVEN by Financial Guaranty UK Limited as the Bond Financial Guarantor, Financial Guaranty Insurance Company as the EIB Financial Guarantor and European Investment Bank (together, the "Majority Creditor") that, pursuant to a Funder confirmation letter dated 4 October 2021 (the "Funder Confirmation Letter"), the Majority Creditor has waived an Event of Default arising under clause 14.5 (Other Obligations) of the Collateral Deed in respect of the corresponding breach of clause 20 of the Accounts Agreement by the Obligors.

The Bondholders are not required to take any action in connection with this notice.

Copies of the Funder Confirmation Letter are available for inspection at the Issuer's registered office.

This notice and any non-contractual obligations arising out of or in connection with this notice are governed by and shall be construed in accordance with the laws of England and Wales.
