                                Baden Associates

The Company announces that a subsidiary, Baden Associates Limited, is to be
wound up following the decision to close the last remaining pub asset in
Portsmouth. Caplay is the major creditor of Baden Associates Limited. As
previously reported, the Boards strategy has always been to dispose of any
underperforming assets. As a consequence, we did not include the results of
Baden Associates Limited in the consolidated accounts for Caplay for the year
ended 31 May 2005. Full provision has previously been made in the Company
accounts for the amount owed.
