 Part conversion of convertible securities issuance 
    deed, Issue of Equity and Total Voting Rights

Central Rand Gold announces the issue of 4,341,608 new ordinary shares ("Conversion Shares") in respect of US$68,000 of convertible security pursuant to the convertible securities issuance deed entered into with Bergen Global Opportunity Fund, LP ("Bergen") as announced on 7 June 2016.

The conversion price is 1.2 pence per share, calculated as 90 per cent. of the average of five daily Volume Weighted Average Prices, as selected by Bergen in its sole discretion, during the 20 consecutive actual trading days immediately prior to 1 August 2016, rounded down to the nearest 0.1 pence.

Application will be made for the Conversion Shares, which will rank pari passu with the Company's existing issued Ordinary Shares, to be admitted to trading on AIM and to the JSE Limited ("JSE"). It is expected that admission will become effective and that trading on AIM and on AltX in the Conversion Shares will commence on or around 5 August 2016 ("Admission").

Total Voting Rights

In accordance with the Financial Conduct Authority's Disclosure and Transparency Rules, the Company hereby announces that following Admission it will have 154,360,223 ordinary shares of 0.1 pence each in issue, none of which are held in treasury. Therefore, the total number of voting rights in the Company is 154,360,223.

The above figure of 154,360,223 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
