Directors' Dealings

GeoPark announces that pursuant to the binding commitments regarding Non-Executive Directors' Fees announced on 26 April 2013, a total of 2,301 ordinary shares of US$0.001 each ("Shares") have been issued on 15 February 2014 to Steven Quamme, Juan Cristobal Pavez and Peter Ryalls, Non-Executive Directors of the Company, in lieu of directors' fees and benefits payable quarterly in arrears to them in accordance with the terms of their appointments, at the prices and in the amounts set out below:

[*] Mr. Quamme is the co-founder and President of Cartica Management, LLC and details of his non-beneficial shareholding in GeoPark, as at 15 February 2014 are as follows: 1,666,735 Shares are held by Cartica Corporate Governance Fund, L.P.; 2,731,159 Shares are held by Cartica Capital Partners Master, L.P.; 3,910,928 shares are held by Cartica Investors, L.P. and 1,382,150 shares are held by Cartica Investors II, L.P. Mr Quamme's beneficial holding is 8,189 Shares. These numbers include the recent purchase of the Company's IPO shares in NYSE.

The Shares will rank pari passu in all respects with the existing shares in issue.

As a result of this issue of shares and the IPO in the New York Stock Exchange, GeoPark now has 57,363,915 Shares in issue.
