Requisition of a general meeting of F&C Asset Management plc

Sherborne Investors (Guernsey) A Limited (the "Company") announces that Sherborne Investors GP, LLC and its associates ("Sherborne Investors") has informed the Company that it has today, through Pershing Nominees Limited, served a requisition upon F&C Asset Management plc ("F&C") to call a general meeting of shareholders for the purpose of proposing resolutions in respect of the following changes to the composition of the board of directors of F&C:

1. The removal of Mr. Nicholas MacAndrew.

2. The removal of Mr. Brian Larcombe.

3. The appointment of Mr. Edward Bramson.

4. The appointment of Mr. Ian Brindle.

5. The appointment of Mr. Derham O'Neill.

Pershing Nominees Limited is the registered shareholder of 51,092,267 ordinary shares in F&C. Sherborne Investors, through SIGA, LP, is the beneficial owner of these ordinary shares.
