ISSUE OF EQUITY


Ventus 3 VCT plc announces that, at a board meeting held on 9 June 2006, 831,978
Ordinary Shares of 25 pence each were issued and allotted at a price of 100
pence per share pursuant to its Offer for Subscription. Following this
allotment, the issued share capital of the Company is 11,172,952 Ordinary
Shares.


This allotment of Ordinary Shares is the final allotment pursuant to the Offer
for Subscription, which is now closed.


Application for the new shares to be admitted to the Official List of the UK
Listing Authority and to trading on the London Stock Exchange's market for
listed securities will be made at the earliest practical opportunity.
