    RESULTS OF THE TENDER OFFER


    Vision Opportunity China Fund Limited (the "Company") is pleased to announce the results of its tender offer (the "Tender Offer") as
described in the circular to shareholders dated 14 November 2008 (the "Circular"). 

    Following the closure of the Tender Offer at 1.00 p.m. on Friday 28 November 2008, the Company has received tenders from Shareholders in
excess of the maximum number of shares to be purchased pursuant to the Tender Offer. Therefore, subject to the Tender Offer becoming
unconditional, all tenders of the Basic Entitlement will be met in full. Tenders received for Shares in excess of the Basic Entitlement will
be subject to scaling back at a rate of 8.358638 per cent. and rounded down to the nearest whole number of Shares.

    The Tender Offer remains conditional on the Resolution being passed at the Extraordinary General Meeting of the Company to be held at
2.00 p.m. on 2 December 2008, the results of which will be announced thereafter, and is subject to the terms and conditions as set out in
the Circular and Tender Form.

    All terms used in this announcement have the same meaning as ascribed to them in the Circular.
