On November 19, 2021, Affirm Holdings, Inc. (the “Company”)
issued a press release announcing the pricing of its offering of convertible senior notes due 2026 (the “Notes”) in a private
placement to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933,
as amended. The Company also granted the initial purchasers of the Notes an option to purchase additional Notes within a 13-day period
beginning on, and including, the initial closing date.
A copy of the press release is attached hereto as Exhibit 99.1
and is incorporated herein by reference.
