At the Company’s Annual Meeting of Stockholders held on January 18, 2024, the stockholders considered and approved two proposals, each of which is described in more detail in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on December 8, 2023 for the Annual Meeting of Stockholders.

 

The results detailed below represent the final voting results as certified by the Inspector of Elections:
