ITEM 8.01 OTHER EVENTS
As previously reported, on April 22, 2020,
Huttig Building Products, Inc. (the “Company”) received written notice from The Nasdaq Stock Market LLC (“Nasdaq”)
indicating that, because the closing bid price for the Company’s common stock had fallen below $1.00 per share for 30 consecutive
business days, the Company no longer complied with the $1.00 minimum bid price requirement for continued listing on The Nasdaq
Capital Market under Nasdaq Listing Rule 5550(a)(2). On May 14, 2020, the Company received written notice from Nasdaq that the
Company had regained compliance with Rule 5550(a)(2) because the Company’s common stock closed with a bid price greater than
$1.00 for 10 consecutive days from April 30, 2020 to May 13, 2020. Accordingly, the Company has regained compliance for continued
listing under Nasdaq.
