( 1)  The total includes 17,600 restricted shares of issuer's common stock issued pursuant to the 2008 Equity Incentive Plan for Non-Employee Directors of ICO, Inc. 8,600 of these restricted shares will vest on February 1, 2010 and 9,000 of these restricted shares will vest on August 13, 2010, all subject to forfeiture prior to vesting in accordance with the terms of the Restricted Stock Agreement pursuant to which such restricted shares were awarded.
