PART III - NARRATIVE
State below in reasonable detail the reasons why Forms 10-K,
20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time
period.
As previously reported, the Company restated its financial
statements for the years ended December 31, 2017 and 2018 and the interim periods through September 30, 2019, which were
included in the Company’s Form 10-K for the year ended December 31, 2019 (the “Form 10-K”) filed
on June 9, 2020. Due to the delay in filing the Form 10-K as a result of the restatement, the Company was unable to dedicate
its full resources to the preparation of its Form 10-Q for the quarter ended March 31, 2020 (the “Form 10-Q”)
and, as a result, the Company is unable to timely file, without unreasonable effort or expense, the Form 10-Q. The Company
intends to file the Form 10-Q within the five-day extension period.

of approximately $365.6 million for the three months ended March 31, 2020, compared to $404.4 million for the three months
ended March 31, 2019, representing an approximately 9.6% decrease and (b) net loss of approximately $11.6 million for
the three months ended March 31, 2020, compared to net loss of $32.2 million for the three months ended March 31, 2019,
representing an approximately 64% improvement.
