On December 27, 2023, China Green Agriculture, Inc. (the βCompanyβ) entered into a Stock Purchase Agreement with Zhibiao Pan (the βStock Purchase Agreementβ) for the purchase by the Company from Zhibiao Pan of all of the outstanding stock of Lonestar Dream, Inc., a Delaware corporation (βLonestarβ). Zhibiao Pan is Co-Chief Executive Officer of the Company, and is the sole shareholder of Lonestar.
Lonestar Dream, Inc. was formed to mine bitcoin for its own profit and to provide equipment hosting services for bitcoin mining clients. Mining bitcoin entails creating new bitcoins by using mining equipment and systems to solve complicated math problems that verify transactions in the currency in order to receive bitcoin. Equipment hosting services entails allowing clients to install their mining machines at the Companyβs two mining sites, a Tarbush mining site in Pecos County, Texas (4143 N US Hwy 285 Pecos, TX 79772), and a Pyote mining site in Ward County, Texas (3072 FM 1927 Pyote, TX 79777), with a total capacity of 100MW, as well as providing electricity and equipment maintenance needed for bitcoin mining. Certain mining capacity is allocated to external clients, the rest is used by the Company to mine bitcoin for its own profit. The Company charges external clients βhosting feesβ. In addition, the Company has been constructing and operating its two cryptocurrency mines under the umbrella of Lonestar Taproot, LLC.
The Stock Purchase Agreement calls for total consideration of $49,000,000, of which $2,450,000 is due at the closing, and $44,100,000 is due 90 business days thereafter, subject to satisfaction of certain conditions. The balance of $2,450,000 is due within 20 days after Lonestarβs auditor issues an audited annual consolidated financial statement of Lonestar and its subsidiary, Lonestar Taproot, LLC, a Delaware limited liability company, for fiscal year 2023, prepared in accordance with GAAP and in form and substance reasonably satisfactory to the Company.
The Stock Purchase Agreement contains customary representations and warranties and covenants by each party. Both parties are obligated, subject to certain limitations, to indemnify the other under the Stock Purchase Agreement for certain customary and other specified matters, including breaches of representations and warranties, breaches of covenants and for certain liabilities and third-party claims.

We founded a shareholder group and are currently 35 Persons that are owning 3 Million shares together. One of our larger investors went to the annual meeting a few months ago. He was very impressed. Do you know about the convertible notes and the takeover of several VIE's?
"The convertible notes take priority over the preferred stock and common stock of Jinong, and any other class or series of capital stocks Jinong issues in the future in terms of interests and payments in the event of any liquidation, dissolution or winding up of Jinong. On or after the third anniversary of the issuance date of the note, noteholders may request Jinong to process the note conversion to convert the note into shares of the Companyβs common stock. The notes cannot be converted prior to the mature date. The per share conversion price of the notes is the higher of the following: (i) $5.00 per share or (ii) 75% of the closing price of the Companyβs common stock on the date the noteholder delivers the conversion notice. Due to the discontinuation of VIE agreements with Zhenbaiβs shareholders, certain convertible notes issued on June 30, 2016 with a face amount of RMB 12,000,000 ($1,747,200) were tendered back to the Company. All outstanding balance of unpaid principal and accrued interest in the tendered convertible notes were forfeited."

According to the following information it seems that they are mostly all kinds of fertilizers.
"We are engaged in the research, development, production and sale of various types of fertilizers and agricultural products in the PRC though our wholly-owned Chinese subsidiaries, Jinong (fertilizer production), Gufeng (fertilizer production) and our VIE, Yuxing (agricultural products production). Our primary business is of fertilizer products, specifically humic acid-based compound fertilizer produced through Jinong; and compound fertilizer, blended fertilizer, organic compound fertilizer, slow-release fertilizers, highly-concentrated water-soluble fertilizers and mixed organic-inorganic compound fertilizer produced through Gufeng. In addition, through Yuxing, we develop and produce agricultural products, such as top-grade fruits, vegetables, flowers and colored seedlings."

Healthy agriculture is, imo, the next trend even in the Third World. Chemical fertilizers and pesticides have been taking a real toll in China and other countries. Before, as long as the production was up, no one cared (kind of like the air pollution problem in Beijing).
But now that it is obvious that chemical, herbicides and pesticides is a form of suicide, organic and healthy alternative farming methods will be adopted more and more.
CGA will do fine. But they really should offer non-chemical solutions to the farming problems in the developing countries.
Small companies in this space are really going to kick. And bigger companies with no sustainable solution will buy them up.
