Submission of Matters to a Vote of Security Holders.

At the Annual Meeting of Stockholders (the “Annual Meeting”) of Gannett Co., Inc. (the “Company”), held on June 7, 2021, the stockholders of the
Company voted on the matters described below.
As of April 15, 2021, the record date for the Annual Meeting, holders of 142,544,454 shares of common stock of the Company were entitled to vote.
Proposal 1. The Company’s stockholders elected the following nine director nominees to serve until the 2022 annual meeting of stockholders and until their respective successors are duly elected and qualified. The results of the vote are summarized in the table below.

In accordance with the frequency receiving the majority of votes cast, the Company’s
Board of Directors has determined that the frequency of future advisory votes on executive compensation will occur every year until the next required vote or until the Board of Directors otherwise determines that a different frequency for such votes is in the best interests of the Company’s stockholders. The next required advisory vote on the frequency of future advisory votes on executive
compensation will take place no later than the 2027 annual meeting of stockholders.
Proposal 5. The Company’s stockholders did not approve an amendment to the Amended and Restated Bylaws to implement majority voting in uncontested director elections. The results of the vote are summarized in the table below.
