Officers; Compensatory Arrangements of Certain Officers.
On December 28, 2018, Kathleen Wilson-Thompson, a member of the Board of
Directors (the Board) of Vulcan Materials Company (the Company), informed the Company that she is resigning from the Board, effective immediately, due to other commitments. Ms. Wilson-Thompsons decision to resign
was not the result of any disagreement relating to the Companys operations, policies or practices.
