PART III - NARRATIVE

 

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof could not be filed within the prescribed time period.

 

The Registrant is unable to file its Annual Report on Form 10-K for the fiscal year ended November 30, 2024 (the “Report”) by the prescribed date of February 28, 2025, without unreasonable effort or expense, due to unforeseen and significant delays encountered in the auditing process.

 

One of the primary reasons for the delay is that our auditor, who is based in Los Angeles, California, has been directly affected by the recent mountain fires that occurred in late January and February 2025. The fires caused considerable disruptions to their operations, including limited access to necessary resources and displacement of staff, which in turn hindered their ability to complete the auditing work within the planned timeframe.
