stock that may be issued pursuant to awards granted under the CytRx Corporation 2019 Stock Incentive Plan (the “2019 Plan”)
and (ii) 2,689,552 shares of its common stock held by the selling stockholders named herein (together, the “Selling Stockholders”)

Corporation is a biopharmaceutical company with expertise in discovering and developing new therapeutics principally to treat
patients with cancer and neurodegenerative diseases. CytRx’s most recent advanced drug conjugate, aldoxorubicin, is an improved

6. Indemnification of Directors and Officers.
Section
102(b)(7) of the Delaware General Corporation Law authorizes a corporation in its certificate of incorporation to eliminate or
limit personal liability of directors of the corporation for violations of the directors’ fiduciary duty of care. However,
directors remain liable for breaches of duties of loyalty, failing to act in good faith, engaging in intentional misconduct, knowingly
violating a law, paying a dividend or approving a stock repurchase which was illegal under Delaware General Corporation Law Section
174 or obtaining an improper personal benefit. In addition, equitable remedies for breach of fiduciary duty of care, such as injunction
or recession, are available.
The
Company’s amended and restated certificate of incorporation eliminates the personal liability of the members of our board
of directors to the fullest extent permitted by law. Specifically, Article Twelfth of the Company’s Restated Certificate
of Incorporation provides as follows:
“A
director of the corporation shall not be personally liable to the corporation or its stockholders for monetary damages for breach
of fiduciary duty as a director, except for liability (i) for any breach of the director’s duty of loyalty to the corporation
or its stockholders, (ii) for acts or omissions not in good faith or which involve intentional misconduct or a knowing violation
of law, (iii) under Section 174 of the Delaware General Corporation Law, or (iv) for any transaction from which the director derived
any improper personal benefit. If the Delaware General Corporation Law is amended after approval by the stockholders of this Article
to authorize corporate action further eliminating or limiting the personal liability of directors, then the liability of a director
of the corporation shall be eliminated or limited to the fullest extent permitted by the Delaware General Corporation Law as so
amended.
Any
repeal or modification of the foregoing paragraph by the stockholders of the corporation shall not adversely affect any right
or protection of a director of the corporation existing at the time of such repeal or modification.”
In
addition, the Company’s Restated Certificate of Incorporation and Amended and Restated By-Laws provide for indemnification
of its officers and directors to the fullest extent permitted by law. In particular, Article Nine of the Restated Certificate
of Incorporation provides as follows:
The
corporation shall, to the fullest extent permitted by Section 145 of the General Corporation Law of the State of Delaware, as
the same may be amended and supplemented, indemnify any and all persons whom it shall have power to indemnify under said section
from and against any and all of the expenses, liabilities or other matters referred to in or covered by said section, and the
indemnification provided for herein shall not be deemed exclusive of any other rights to which those indemnified may be entitled
under any bylaw, agreement, vote of stockholders or disinterested directors or otherwise, both as to action in his official capacity
and as to action in another capacity while holding such office, and shall continue as to a person who has ceased to be a director,
officer, employee or agent and shall inure to the benefit of the heirs, executors and administrators of such a person.
Section
145 of the Delaware General Corporation Law empowers a corporation to indemnify any person who was or is party or is threatened
to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative
or investigative, by reason of the fact that he or she is or was a director, officer or agent of the corporation or another enterprise
if serving at the request of the corporation. The Company’s Restated By-Laws permit it to purchase insurance on behalf of
such person against any liability asserted against such person and incurred by in any such capacity, or arising out of such person’s
status as such, whether or not we would have the power to indemnify such person against such liability under the foregoing provision
of the Restated By-Laws. We have entered into indemnification agreements with each of our directors and officers under which we
agree, in effect, to indemnify them to the fullest extent permitted by Delaware law. In addition, we hold an insurance policy
covering directors and officers under which the insurer agrees to pay, with some exclusions, for any claim made against our directors
and officers for a wrongful act that they may become legally obligated to pay or for which we are is required to indemnify our
directors or officers.
Insofar
as indemnification for liabilities arising under the Securities Act of 1933, as amended, or the Securities Act, may be permitted
for directors, officers and controlling persons of the Company under the above provisions, or otherwise, the Securities and Exchange
Commission has advised us that, in its opinion, such indemnification is against public policy as expressed in the Securities Act
and is, therefore, unenforceable. In the event that a claim for indemnification against such liabilities (other than the payment
by the Company of expenses incurred or paid by a director, officer or controlling person of the Company in the successful defense
of any action, suit or proceeding) is asserted by such director, officer or controlling person in connection with the securities
being registered, the Company will, unless in the opinion of its counsel the matter has been settled by controlling precedent,
submit to a court of appropriate jurisdiction the question whether such indemnification by it is against public policy as expressed
in the Securities Act and will be governed by the final adjudication of such issue.
