I agree don. To me it seems a seller is lurking and ready to sell shares at the drop of a hat when the bid price is high enough for them.

Could be someone holding commons converted from Preferred shares. Or just someone looking to get out at as high of a price that they think they can get.

In either case it seems someone wants to dump shares at every opportunity that they can.

As I am happy to hear that wish it was some new blood with some info yesterday I put some small bids up and they were hit within 10 seconds not sure what to make of that a seller just waiting for bids

Agree and all ready have in my head a tax loss for this postion if I didnt take profit 3 1/2 years ago probably would be alot more angry

Thanks don. Everyone can believe what they want to believe about the significance of Preferred holders converting to commons.

But for me, it's not really that important. I just want the Nguyens to do the "right" thing and be successful in whatever they want to do with MVNT. But for me, I have lost faith in their ability to do anything significant with MVNT as a public valve producing company with no other assets included. Remember when they told MVNT shareholders they had 2 other companies lined up to join HAV under the MVNT umbrella? Then they said it would be 5 companies and maybe even 10 rolled up into MVNT. All that has come to naught. And now even HAV has had zero revenues for at least two quarters and likely even longer.

It's all very discouraging and disappointing imo. Others can ballyhoo possibilities if they want, but for me, I am resolved to hold MVNT shares to my grave as a huge loss that will be passed down to my heirs for them to do whatever they want with those MVNT shares. Luckily for them, at least the basis for those shares will be adjusted to whatever price MVNT closes at on the day that I die (IRS rules)!

Chemist really well said .I keep saying they should turn it into a resturant stock which means they would have to open up there books to the public which they might not want to do or spin or sell this off too a real business

Hard to say exactly what it means. Different holders may have different reasons for converting to common shares.
Here are some possibilities:
1) Preferred shareholders may want to convert to common shares in order to sell the commons for a profit at any price above $.02. Any sale below that price would result in a loss as each Preferred share was purchased for $2, which is equivalent to $.02 per common share. Obviously those wanting a profit may know that something good will be happening in the near future (unlikely in my opinion) or they might just want to take a loss for tax purposes (a more likely possibility imo) or they are undecided about the future of MVNT and just want to have common shares available which can be sold at any time into the market for either a profit or a loss (most likely imo).
2) Some holders may just need cash and will sell their converted shares at any price (again, unlikely imo).
3) Some may have info that leads them to believe MVNT common shares will have a higher price in the near future and want to be able to cash in (sell) their shares immediately. (I am very doubtful about this scenario.)

In my opinion, the most likely explanation is the one above (they just want to have common shares available which can be sold immediately at any time into the market for either a profit or a loss). This is neither good nor bad as they are now common shareholders just like us waiting to see what happens with MVNT common shares!

I think there are 80k shares of preferred b not converted between 9 different parties. I believe that is correct. Around 40% of shares remain.

Company needs to get their act together and follow through on their tweets if they want a successful public entity. I do know that.

If that 2M was not due to conversion of B shares, then that means a share increase of 3,500,000 due to conversion(s). Is that correct?

Like you say, we won't know for sure until FY 2025 Annual report is filed. Hopefully before MVNT gets to another "grace period" sometime around the end of October 2025. LOL

You know what happens when you assume.
The question in my mind is the 2m increase. This increased outstanding and restricted shares and not unrestricted. Tells me that was probably for services not conversion. Conversion should have increased unrestricted.

The increase in outstanding shares of exaxctly 5,500,000 from June 30, 2024 (from 2024 Annual Report) to the current OS shown on OTC markets ( https://www.otcmarkets.com/stock/MVNT/security ) implies that 55,000 Preferred B shares were converted to common shares sometime during that period.

You don't need financials to figure that out. You just have to assume that the increase in OS was entirely due to conversion of Pref. B shares (100 for 1).

Pref. B shareholders paid the equivalent of $.02 per common share.

The only time recently that MVNT has been above $.02 per share was from August 2023 to April 2024. So they could have made a small profit selling thier converted common shares during that period. Otherwise, NO they would not have made a profit.

Not sure if they have sold. Just converted to be able to sell. If they sold recently, would say no. Again, i have no idea if they sold or still waiting to sell, on the converted shares.

There were 105,000 preferred b still in tack as of 6/30/2024 from what I could tell. Not sure how many for sure converted since that time as we don’t have updated financials.

I think 25,000 more have converted since 6/30/2024 by tracking. It could be 40k more in total or maybe 0 converted. The 25k lines out the same as the earlier conversion. Total guess though.

At the end of June 2024, there were 9 people still holding.
There were 15 in total who bought preferred b for a total of 208,750 shares.

The sad thing is, if this pemex project is legit, it has taken over a year to install and get working. Most businesses are not going to put up with the slowness.

Not many Preferred B shares left outstanding, not counting the 600K shares owned by Linh and Long Nguyen.

As best I can tell, there are only 50K Preferred B shares left that haven't been converted to common shares. Hard to tell exactly how many people are left holding Preferred B shares. Could be as few as one person (for example Nathan Robertson purchased 50K Pre. B in 2019). Or it might be 2 or more left holding 50K shares. I'm not building a spreadsheet like G. Lee has to follow all the conversions the past 5 years. It's not worth it to me to find out exactly who is still holding those 50K B shares. The point is that at least 75-85% of the original family & friends have converted their B shares to commons.

The real question is why all these conversions?? I think the answer is obvious, but maybe not? LOL

MVNT's filling history for FYs 2022 to 2024:
MVNT last filed a quarterly report on time on 11/15/2021 for Q1 2022.
MVNT has filed a total of 7 quarterly reports since that time, all of them late.
MVNT didn't file a Q3 report for FY 2024, and so far, hasn't filed any quarterly reports for FY 2025.
