Hemp Inc has acquired this company? Is that correct?
_______________
Hemp, Inc. Acquires American Sustainable Rubber Company, LLC

Las Vegas, NV, Nov. 24, 2021 (GLOBE NEWSWIRE) -- via NewMediaWire -- Bold moves, strategic partnerships and expanded capabilities, Hemp, Inc. (OTC PINK: HEMP) is on a mission to be a powerhouse of social change and economic revival and sustainability. In an all-stock transaction, the Company purchased a 100% membership interest from United American Healthcare Corporation (UAHC), a diversified holdings company, to acquire full ownership of American Sustainable Rubber Company, LLC (ASR), which is pursuing large-scale production of natural rubber through a genetically modified rubber source at The Ohio State University. The acquisition will enable Hemp, Inc. to leverage ASRโ€™s proprietary intellectual property to improve its hemp grows and harvesting.
โ€œThis is Hemp, Inc.โ€™s second major acquisition in less than 3 months. Our first acquisition was in September, of this year. We acquired Ferris Holding, Inc., a leading co-packer and manufacturer based in Las Vegas, Nevada. This allowed us to expand our product launches in the global hemp market. And now with the ASR acquisition, I couldnโ€™t be more excited and inspired by the momentum weโ€™re gaining as we continue to fortify our competitive positioning and aggressive marketing strategy. These strategic acquisitions allow us to develop new avenues of long-term profitable growth that Iโ€™m sure our shareholders will appreciate," said Jim Hancock, President of Hemp, Inc.

Before we get into how this acquisition is a win-win for Hemp, Inc. and its shareholders, letโ€™s address the immediate question of, โ€œWhy rubber?โ€ And if you think rubber doesnโ€™t affect you, think again. Itโ€™s used in over 40,000 commercial products every day. From the obvious auto tires which help you commute to and from work, plane tires that help you travel around the world to the clothes on your back, toys kids play with, and the shoes you have on your feet, rubber is an integral part of our lives.

Integral may be an understatement. Rubber is a critical raw material and is considered โ€œstrategic materialโ€ deemed critical to National Security by the U.S. Department Logistics Agency. This year (March, 2021), the U.S. imported $140 million in raw natural rubber. Thatโ€™s a far cry from the $1.6 billion imported in 2017. The Ohio State University professor and Scientific Advisor to ASR, Katrina Cornish said, โ€œWe could be on the cusp of a rubber apocalypse.โ€ Maybe not an apocalypse but a looming shortage is very possible.

Key contributing factors to a possible shortage are: cyclical pricing disruptions (fluctuating prices from volatile market conditions); climate change (tsunamis/typhoons and major flooding that can wash out entire crops); disease (leaf blight fungus that can also wipe out entire crops); and Covid-19 (less workers to harvest the crops). It takes 4-7 years before rubber trees are mature enough to be tapped for latex (the milky sap that is inside of the tree). So, when these key contributing factors wreak havoc on rubber crops, it takes years to harvest another crop. In our fast-paced lives, do we really have that kind of time?
In addition to the time factor, rubber is not grown in the U.S. The majority of the worldโ€™s natural rubber supply is grown on small family farms in South East Asia, Thailand mostly. But what if something were to happen to Thailand? Indonesia? Vietnam? What would happen if we could no longer import rubber for our everyday use and basic necessities? Sadly, the U.S. relies on this foreign import. Complete reliance subjects you to a high amount of risk, primarily environmental and political.

Instead of succumbing to an apocalypse, as Dr. Cornish hinted, there is a solution. ASR is one of the innovative companies passionately pursuing large-scale domestic production of natural rubber through a genetically modified rubber source. That source is dandelions, one of the most familiar plants in the world that just about anyone can identify at a glance and beloved by children for the mere pleasure of โ€œblowing the puffballโ€. And ASR has exclusive rights to the genetically modified T.K. Dandelions (Buckeye Gold), developed at The Ohio State University, to be grown in hydroponic settings for rubber production.
The goal is to harvest latex from the plantโ€™s roots by modifying the DNA of the T.K. Dandelion in order to create and identify strains of high yielding rubber. The T.K. Dandelions would be in a controlled indoor hydroponic setting to prove growth and develop multiple harvest schedules (4 or more harvests annually). Thatโ€™s in one year, not 4-7 years. Aside from the benefit of a quicker growth timeframe, there is less foreign dependency, safer working conditions, and the creation of jobs. ASR will also be able to help supply rubber for tires, flooring, toys, and tens of thousands of other products that currently use rubber from plantations that displace tropical rainforests. Basically, ASR plans to meet the gap in rubber supply through large-scale indoor farms.
Now, on to how this is a win-win for Hemp, Inc. and its shareholders. Hemp, Inc. owns ASR and all of their technology and intellectual property. Just as the technology is used on the dandelion plant, it can be used to grow hemp more effectively. Without getting too deep into the scientific technical jargon, letโ€™s take a look at the cannabis plant.

In the cannabis plant, one gene uses carbon dioxide more effectively. Thereโ€™s a gene that turns off THC. Imagine turning off that one gene that produces THC. What would be left is CBG. But there is more than one gene that produces THC. ASRโ€™s technology (100% owned by Hemp, Inc. now) could find all the genes and turn off the ones producing THC completely. Since CBG is the precursor, we want to turn more genes into CBG only. Additionally, there are over 120 other cannabinoids creating a future for Hemp, Inc. of unlimited possibilities.
We can also use ASRโ€™s technology to grow a plant that is easier to harvest. The hemp plant currently grows up to 12 feetโ€ฆ not very space efficient. Ideally, weโ€™d like to grow a shorter, bushier plant with lots of colas on it. This would be easier to machine harvest, thereby growing super productive plants leading to better harvests. Possibilities and profitability are endless.
โ€œThe possibility and profitability this acquisition affords us is a huge game changer for Hemp, Inc. and added value to our shareholders. Leveraging this technology with our hemp grows makes this an unbeatable partnership. ASR is one of the leading players in this burgeoning space so the value weโ€™ll be able to bring to the entire market is unparalleled,โ€ said Hancock.

WHAT IS HEMP, INC.?
With a deep-rooted social and environmental mission at its core, Hemp, Inc. seeks to build a business constituency for the American small hemp farmer, the American veteran, and other groups experiencing the ever-increasing disparity between tapering income and soaring expenses. The Company is on a mission to be a powerful engine for social change and economic revival, worldwide, by providing hemp products that are eco-friendly, sustainable and healthy. Hemp, Inc. executives believe there can be tangible benefits reaped from adhering to a corporate social responsibility plan.

HEMP, INC.โ€™S TEN DIVISIONS
It has been Hemp, Inc.โ€™s intent to continually invest in building its hemp infrastructure, especially since none existed previously. In fact, the Company has instinctively been following the same path as Amazonโ€ฆ reinvesting profits and operating capital back into building the infrastructure. This is a business strategy that has been proven and works well.
All the years leading up to this point were building and finishing the largest hemp infrastructure in America and now the Company is focusing 90% of its efforts on marketing and generating revenues.

Hemp, Inc.โ€™s ten divisions are as follows:
Division One โ€“ The Industrial Hemp Infrastructure
Division Two โ€“ The Hemp Farming Infrastructure
Division Three โ€“ The Hemp Pre-Roll Blending Infrastructure
Division Four โ€“ The Hemp Educational Infrastructure
Division Five โ€“ The Hemp Marketing Infrastructure
Division Six โ€“ Accessories, Products and Services
Division Seven โ€“ Research and Development
Division Eight โ€“ Industrial Hemp Investments and Joint Ventures
Division Nine โ€“ Industrial Hemp Consulting
Division Ten โ€“ Educational Entertainment

Division One โ€“ The Industrial Hemp Infrastructure
The Industrial Hemp Infrastructure division consists of two hemp processing facilities. The largest of the two is its multi-purpose industrial hemp processing facility and milling operation in Spring Hope, North Carolina. Itโ€™s the largest โ€œindustrial hemp processing centerโ€ in the western hemisphere and has grown to become one of the pre-eminent centers of the industrial hemp industry. The 85,000 square foot facility sits on 9-acres. It is environmentally sustainable and was built from the ground up in hopes of โ€œMaking America Hemp Again.โ€
The facility currently has approximately 769,794 pounds of raw kenaf bales, 363,225 pounds of DrillWall®; and 449,552 pounds of Spill-B-Goneโ„ข. Thatโ€™s a total of approximately 1,582,571 pounds of product.
In addition to the companyโ€™s two industrial hemp processing facilities, Hemp, Inc also acquired a significant manufacturer and co-packer, Ferris Holding Inc. (โ€œFerrisโ€), headquartered in Las Vegas, Nevada. Hemp Inc.โ€™s all stock acquisition of Ferris will provide cost savings and increased revenue of products developed, manufactured and co-packed by Ferris. As a leading co-packer and manufacturer, Ferris will expand Hemp, Inc.โ€™s launching of new products in the hemp market that can be distributed and sold worldwide by Hemp, Inc.
Hemp, Inc. and their associates also have land in Golden Valley, Arizona (100 miles from Las Vegas, 20 miles north of Kingman, AZ). A good portion, of this land, is designated for the Veteranโ€™s Village Kins Community (VVKC) for Arizona and acres are being prepped for industrial hemp cultivation. The company aims to boost the economies of these small towns by offering affordable hemp processing services, which incentivizes local growers to add hemp to their crop rotation.
Division One Products:
DrillWall® (a loss circulation material)
Spill-Be-Gone® (an oil spill cleanup product)

Division Two โ€“ The Hemp Farming Infrastructure
The Hemp Farming Infrastructure (Division Two) consists of farm equipment, cloning rooms, clones and seeds, grow rooms, greenhouses, hemp drying facilities and a huge amount of peripheral farming tools and equipment. The progress Hemp, Inc. has made in its agricultural endeavors, over the course of seven years, has been amazing. (Visit https://www.hempincpresents.com/ to see the videos of Hemp, Inc.โ€™s grows in multiple locations.)
Hemp, Inc. also has three โ€œSmall Family Hemp Farmโ€ models. The โ€œSmall Family Hemp Farmโ€ in North Carolina is situated on 12 acres and consists of a cloning room, a greenhouse, and enough land to grow 2,000-3,000 high CBD or CBG hemp plants. The model shows farmers how to grow high CBD and CBG hemp plants, operate a greenhouse and turn a barn into a cloning room to earn up to $100,000+ a year. This shows an example of how the โ€œSmall Family Hemp Farmโ€ can be duplicated and reappear on the American landscape. After all, the original small family farms in America were able to survive economically by growing hemp as their main cash crop and the first five presidents of the United States were all hemp farmers.
The other two โ€œSmall Family Hemp Farmโ€ models are located in Dolan Springs, Arizona. One of which is referred to as โ€œThe Orchardโ€ because it has a sizable organic orchard. There are 2 acres on which CBG hemp will be grown; a cloning room; cold storage; and a greenhouse that is planned to be installed.

Division Two Products include:
King of Hemp® Gummies - These CBD edibles come in a variety of flavors and potencies of 25 gm, 20 gm and 10 gm. Flavors include blue raspberry, kiwi, strawberry, pineapple, guava, tropical, apple, citrus, berry tang and more. CBD Fruit Rings (20 gm and 10 gm) are available in apple, peach and watermelon. King of Hemp® Sour Bears in assorted flavors (10 gm) are in stock, too.
King of Hemp® Caviar (previously called Moon Rocks) offers high CBD potency and a rich taste. The Caviar is made from high-quality Bubba Kush hemp flower, coated in a THC-free distillate and then rolled in CBG-rich kief.
King of Hemp® Diamonds, which contain over 95% CBD, are derived from terpene-infused THC-free distillate.

Midnight Express, a high CBG Pre-Roll, is made from premium hemp flowers, named in honor of the 1977 book by Billy Hayes โ€˜Midnight Expressโ€™, which was also an award-winning feature film, written by Oliver Stone. Hemp, Inc. uses a proprietary process for its Pre-Rolls, which includes blending the best flower from numerous hemp crops. King of Hemp® Pre-Rolls offer smokers a unique, consistent profile every time.
King of Hemp® Tinctures boast a new-formulation that will be available at the King of Hemp® online store and at retail locations very soon.
Hemp, Inc. began shipping its King of Hemp® product line to stores across the country in late 2020.

Division Three โ€“ The Hemp Pre-Roll Blending Infrastructure
Hemp, Inc. acquired a significant manufacturer and co-packer, Ferris Holding Inc. (โ€œFerrisโ€), headquartered in Las Vegas, Nevada. Hemp, Inc.โ€™s all stock acquisition of Ferris will provide cost savings and increased revenue of products developed, manufactured and co-packed by Ferris. As a leading co-packer and manufacturer, Ferris will expand Hemp, Inc.โ€™s launching of new products in the hemp market that can be distributed and sold worldwide by Hemp, Inc.
Ferris was founded and began operations in 2005 and has been the manufacturer of the King of Hemp® smokable product line for Hemp, Inc. With consistent stellar health department ratings and innovative manufacturing processes that increase quality while decreasing loss, Ferris is a highly respected manufacturer. The ownership of Ferris has agreed to allow their management team to stay on for at least one year, assuring a smooth transition to the management team at Hemp, Inc.

Division Four โ€“ The Hemp Educational Infrastructure
The Hemp Educational Infrastructure division includes Hemp, Inc.โ€™s Hemp University which focuses on educating and empowering hemp farmers and entrepreneurs with knowledge, processing, infrastructure and support. The educational seminars, through the Hemp University, are held as needed. These seminars teach farmers and landowners how to create a profitable income stream by maximizing the per-acre crop revenue. Through this division, Hemp, Inc. has trained well over 500 farmers in its first two years by doing a total of nine Hemp University seminars in North Carolina and Oregon, which included:

These online masterclasses provide farmers who were either not able to attend the first Hemp University or who would like to revisit certain topics presented by the event speakers.
Those interested in Hemp, Inc.โ€™s online courses, including experts in any aspect of the industrial hemp industry, should contact Chris Tinney on (855) 554-6834 or via email at (ctinney@hempinc.com).

Division Five โ€“ The Hemp Marketing Infrastructure
While marketing is a critical facet of any business operation for increasing revenues, Hemp, Inc. believes there must be a keen focus on the infrastructure. The demand for CBD, CBG and other hemp products is massive, some even say the demand is insatiable. In order to supply that type of volume/demand, there must be a strong foundation or infrastructure in place. Hemp, Inc. will continue to grow a rock-solid Hemp Marketing Infrastructure.

Division Six โ€“ Accessories, Products and Services
The Accessories, Products and Services division focuses on the sale of hemp industry accessories such as the sale of extractors, harvesters, storage bags, containers, fertilizer, soil amendments, humidifiers, dehumidifiers, balers, greenhouses, and greenhouse equipment; the drying, trimming, curing, storing and brokering for other farmers harvesting hemp; and ultimately anything else a hemp farmer may need to be successful.
Hemp, Inc. plans on greatly expanding this division.

Division Seven โ€“ Research and Development
Hemp, Inc. is proud to have been a pioneer and leader in the early stages of the hemp industry in America. The Research and Development division has been an integral part of the company since day one. A formal research and development project is in the works and the company plans on expanding this division in the future.

Division Eight โ€“ Industrial Hemp Investments and Joint Ventures
Since the passing of the 2018 hemp bill, Hemp, Inc. has been flooded with inquiries of people who want to invest in the hemp industry but donโ€™t know where to start. As the avant-guard of the industrial hemp industry, Hemp, Inc. has put together numerous joint venture investment opportunities for the medium to large-scale investor. Those who are interested should email ir@hempinc.com.
Millionaire investors, and in some cases billionaires and billion-dollar hedge fund managers, are aggressively trying to get into the hemp industry since the passing of the 2018 Farm Bill. A joint venture agreement with Hemp, Inc. has been very appealing to investors because of the companyโ€™s vast network of experts and resources.

Division Nine โ€“ Industrial Hemp Consulting
Hemp, Inc.โ€™s Industrial Hemp and Medical Marijuana Consulting Company (IHMMCC) was restructured as its ninth division and is now โ€œDivision Nine โ€“ Industrial Hemp Consultingโ€. With an influx of public companies wanting to expand into the industrial hemp industry, Hemp, Inc. has been inundated with potential consulting agreements. To keep up, Hemp, Inc. revamped its consulting division to work hands-on with each company to provide its years of expertise.
Typically, companies seeking in depth consulting services from Hemp, Inc. pay mostly in stock since cash flow is oftentimes tight during the developmental stage of start-up companies in this industry. Through Hemp, Inc.โ€™s Industrial Hemp Consulting division, a wide range of services are forged from the experiences of creating the first publicly traded company in the cannabis sector (Medical Marijuana, Inc.) and having over a decade of experience in the industrial hemp industryโ€™s public sector.

Division Ten โ€“ Educational Entertainment
Hemp, Inc.โ€™s Entertainment division will cover everything from investing in the movie โ€œThe Adventures of the King of Potโ€ (https://www.kingofpotthemovie.com/) and other historical movies, books and documentaries representing our industry up to the current docuseries being made on โ€œThe Modern Day History of Hempโ€. Those interested in investing in any one of these ventures should contact the divisionโ€™s Project Manager, Chris Tinney, at 855-554-6834 or via email, ctinney@hempinc.com.

The Veteran Village Kins Community in Arizona has completed its final site plan blueprints for its 36 of the 500-acre site in Golden Valley, Arizona (20 miles north of Kingman, AZ and 90 minutes from Las Vegas, NV). The Company is also in the final stages of completing the necessary infrastructure to support an off-grid, renewable, energy system.
Live streaming video can be accessed on www.kinscommunity.com by clicking the โ€œLivestream Videoโ€ tab. Viewers are able to actually see the way the Veteranโ€™s Village Kins Community is designed and watch it being built. The basic framework or overall plan of the Veteranโ€™s Village Kins Communities is to create a holistic healing and learning center that is designed to educate and heal veterans with PTSD, alcoholism, meth addiction, opioid addiction, and other psychological conditions while at the same time training them on the numerous aspects of being part of the emerging multi-billion-dollar hemp industry.
The Company will also build hemp-growing communities for other groups such as โ€œAbusedโ€ Women & Children Village Kins Communities; the โ€œOrphansโ€ Village Kins Communities; โ€œHomelessโ€ Village Kins Communities, the โ€œHealersโ€ Village Kins Communities (the healers are professionals who are knowledgeable in the modalities to treat these traumatized groups); and a community to โ€œHeal the Healersโ€ called Heal the Healers Village Kins Community Arizona. These particular communities are all synergistically aligned to work simultaneously supporting each other.
For example, the โ€œHealersโ€ heal the traumatized veterans and women & children; the women support orphaned children, and orphaned children want to see people living in homes and not homeless. Thus, a portion of the hemp grown in each community goes to create and support another community, giving everybody a sense of giving back and helping others as they help themselves. This circles back to the healers who also work to heal the veterans and the other traumatized groups. This is the economic foundation on how the sale of the hemp products operates as a โ€œquantum economic matrixโ€ or an example of โ€œsymbiotic economicsโ€ which is way more complex than this brief description allows.
The VVKC will include a 100,000-square foot GMP compliant, central processing plant and various health and wellness centers to support veterans who may have psychological, emotional or health issues. It will also give veterans and other Americans a place to learn new skills and take part in this multi-billion-dollar hemp CBD market. Itโ€™s a big part of the companyโ€™s mission to give back. They have also expanded the Kins Community concept internationally focusing on, but not limited to, Israel, New Zealand, Canada, Africa, Australia and Jamaica.

UAHC Establishes Wholly-Owned Subsidiary American Sustainable Rubber Company Which Hopes to Commercialize a Domestic Natural Rubber Technology SolutionPress Release | 02/05/2019

CHICAGO, Feb. 05, 2019 (GLOBE NEWSWIRE) -- United American Health Corporation (OTC: UAHC), an emerging technology holding company, today announced the establishment of a wholly-owned subsidiary American Sustainable Rubber Company, LLC, (โ€œAmerican Sustainable Rubberโ€) (โ€œASRโ€)(โ€œCompanyโ€), an indoor agriculture technology company focused on creating a domestic solution to natural rubber production. The company hopes to utilize proprietary technology in order to produce the first ever sustainable natural rubber supply chain in the United States at a commercial level through a genetically modified rubber source.

At the core of its mission, American Sustainable Rubber seeks to create a United States-based commercialized supply chain of natural rubber, where the US currently accounts for less than one percent of global natural rubber sales. The U.S. imported $2 billion in natural rubber in 2017, amounting to 11.4 percent of the world total and making the country the second largest importer in the world. Currently, 86 percent of global natural rubber sales are coming from Thailand, Indonesia, Malaysia, India, Vietnam and China. American Sustainable Rubber plans to address this large market opportunity and serve as a domestic natural rubber source for the U.S.

โ€œIt is our goal to provide the U.S. with a domestic source of natural rubber while eliminating the risks associated with a lack of variety in supplier location, reducing environmental harms and often unsafe and inconsistent work environments found in the rubber industry.โ€ said John Fife, CEO of United American Health Corporation, parent company of American Sustainable Rubber. โ€œThrough our research and eventual production capacity of natural rubber, we hope to create a positive impact not only on the environment but on the United States economy as whole.โ€

In addition to the market opportunity for the US economy, American Sustainable Rubber was created to bring new jobs to the United States and decrease the countryโ€™s reliance on foreign imports. The company will use a proprietary approach to produce a natural rubber source that can be grown and harvested at a commercial scale. American Sustainable Rubber will also focus on developing and maintaining sustainable indoor growing conditions that protect from negative environmental factors and provide safe and fair working environments in the U.S. The company anticipates that their sustainable commercial scale operations will be powered by renewable energy with the goal of net zero carbon emissions, which have a positive impact on Earthโ€™s atmosphere as well.

Tennessee Medical Center Uses AHRQ Tools to Reduce Infections, Medical errors The NorthCrest Medical Center, located in Springfield, Tennessee, used AHRQโ€™s CUSP (Comprehensive Unit based Safety Program) to decrease the number of pressure ulcers, and to tackle some other patient safety issues they were having ranging from cauti, which are known as catheter associated urinary tract infections, right down to errors in medication. NorthCrest has a certified wound center, before using CUSP they struggled for years with pressure ulcers, within three weeks they noticed improvement (AHRQ, 2017). Vice President and chief nursing officer, Angela Beard added that, CUSP has been successful, NorthCrest put together a team who focus just on CAUTI, in 2012 they had experienced ten CAUTI, they reduced that number quick, and they continued those works after CUSP procedures were introduced, they had only one case in 2016). Teamwork is very critical and important for success when utilizing CUSP. CUSPโ€™s principles can be approximately applied to a variety of patient safety issues, with positive outcomes (McGinley, 2013). Teaching employees in the field of safety, identification of deficiencies and learning from them, and engagement of leadership, and implementing the necessary tools needed for teamwork, are elements NorthCrest found to be very valuable. Northcrest identified very early in their program the education of their staff on safety was going to be very crucial. The staff that does patient care are the portion of the staff that will identify defects and problems, so training in safety was highly important to define their goals, they also excuted root cause analysis on all things that might cause injury to the patient and learned from those things and how to avert future mistakes or deficiencies in care (AHRQ, 2017). Health Care organizations are coming together to enforce patient safety and finding numerous ways in which they can labor with each other more efficiently and effectively to guarantee that they provide safe and high -quality care, with minimal risk (ECRI Institute, 2014). The organization that I am currently employed has implemented several of these practices, they have a skin team who is very excellent, the number of in house pressure ulcers are slim to none. They also have several measures of safety measures to ensure the safety of our residents such as, bed and chair alarms, residents who are non-compliant cannot be alone in their room, continual education of staff, and the use of air mattresses for some, equipment safety measures, among many others which has helped reduced the risk of falls, and injury.
