Result of EGM



On 23 March 2004 the Board of the Company announced recommended proposals for an
acquisition of assets through the issue of new shares and debt in connection
with the scheme of reconstruction of Allianz Dresdner Smaller Companies
Investment Trust plc. The Company's Extraordinary General Meeting in connection
with the proposals was held today and all resolutions were passed.

Accordingly, subject to the passing of the resolutions at Allianz Dresdner
Smaller Companies' second extraordinary general meeting on 23 April 2004, the
proposals set out in the Circular dated 23 March 2004 will, subject to listing
of the New Shares and entry into of the Transfer Agreement, come into effect and
the following timetable will apply:



Date for calculation of the Company's NAV to determine           23 April 2004
A Pool entitlements


Listing of New Shares expected to become effective               26 April 2004


A further announcement stating the number of New Shares to be listed will be
made in due course.


The definitions set out on pages 12 and 13 of the Circular shall bear the same
meanings in this document.
